雙環傳動(002472.SZ)擬1000萬元認繳卡諾普新增註冊資本 佔股1.27%
格隆匯1月10日丨雙環傳動(002472.SZ)公佈，公司(“投資方”)於2020年1月10日召開第五屆董事會第十一次會議，會議審議通過了《關於對外投資的議案》。公司擬與張家港國弘紀元投資合夥企業(有限合夥)(“國弘紀元”、“投資方”)共同向成都卡諾普自動化控制技術有限公司(“卡諾普”、“標的公司”)進行投資，其中公司擬以自有資金1000萬元人民幣認繳卡諾普新增註冊資本13.5135萬元人民幣，其餘986.4865萬元作為溢價全部計入卡諾普的資本公積。此次卡諾普增資完成後，公司將持有其1.27%的股權。
成都卡諾普自動化控制技術有限公司是一家以工業機器人核心零部件及機器人整機為研發、生產、銷售的國家高新技術企業、雙軟認證企業，工業機器人控制器、電氣系統、伺服系統三項國家標準主要起草單位，成都市新經濟100家重點培育企業。通過多年的發展，卡諾普核心技術已廣泛應用於焊接、噴塗、搬運、碼垛、拋光打磨等領域。機器人整機引入國外成熟技術體系，為客户提供優質的產品。公司在全國建立六大營銷服務中心和技術應用中心，為客户提供專業、及時的服務和完整的機器人應用解決方案。
此次增資款主要用於以下事項：1)新技術、新產品的研發及生產；2)標的公司運營資金；3)與標的公司主營業務相關的投入。
為解決製造業勞動力缺口、降低製造成本、提高生產效率、保證產品質量穩定性，智能製造已在全球範圍內快速發展，成為製造業重要的發展趨勢，對產業發展和分工格局帶來了深刻影響。公司一直致力於工業智能製造業務，研發的工業機器人精密減速器產品得到國內同行和客户的認可，市場佔有率不斷提升；卡諾普是一家以工業機器人核心零部件及機器人整機為研發、生產、銷售的國家高新技術企業，擁有豐富的機器人技術經驗。本次對外投資，合作各方實現資源整合、優勢互補，有利於公司進一步拓展工業智能領域的業務。本次投資對公司短期業績及財務狀況無重大影響，對公司長遠發展和企業效益將產生積極影響，不存在損害公司及全體股東利益的情形。
