道明光學(002632.SZ)：擬投資建設安防小微園一期
格隆匯1月10日丨道明光學(002632.SZ)公佈，公司於2019年2月28日召開第四屆董事會第十二次會議，審議通過了《關於公司擬參與競拍土地使用權的議案》，同意公司參與競拍永康市人民法院拍賣的永康市西城街道花街金長園村、尚仁村浙江正宇機電有限公司廠房土地及附屬物。並於2019年3月4日以總價人民幣約3.88億元(未包括拍賣成交繳納的税費)成功競拍取得上述土地226,896平方米及附屬建築物。公司於2019年9月12日取得永康市自然資源和規劃局頒發的上述地塊的不動產權證書。
公司於2019年12月24日召開的第四屆董事會第十七次會議審議通過《關於使用土地使用權對全資子公司出資的議案》，同意公司將上述位於花街鎮花金路總面積為226,896平方米的土地使用權按照賬面價值出資轉讓至全資子公司浙江道明科創實業有限公司(“道明科創實業”)。並於2019年12月26日取得永康市自然資源和規劃局頒發的不動產權證書完成土地轉讓。
公司拍得上述地塊初衷是考慮到永康民營經濟發達，工業土地資源稀缺，通過國有出讓形式取得土地的難度較大，公司希望通過競拍該地塊取得充足的土地儲備以應對公司未來打造新型功能性膜材料產業園的整體用地需求，為公司未來發展奠定良好基礎。但考慮到目前公司現有功能性膜項目仍未完全釋放產能以及部分功能性膜材料技術儲備的產業化階段尚未完成，為盤活公司資產，結合國家、浙江省及永康市出台的支持小型微型企業創業創新示範基地的系列政策支持，公司擬使用競拍取得的部分土地投資建設道明安防小微園一期項目，該項目實施地點位於浙江省金華市永康市花街鎮，地塊緊鄰花金線(老330國道)，東西方向皆連接330國道，地理位置優越。該項目擬投入自籌資金約4.71億元，其中1.33億元為之前拍賣已投入的土地成本，該項目使用土地面積為70,834平方米，項目內容為安防小微園及配套設施建設。同時，授權管理層根據本項目建設進度逐步投入並完成建成廠房的銷售。
