東華軟件(002065.SZ)：控股股東、實控人及一致行動人擬協議轉讓5.04%股份予騰訊科技
格隆匯1月10日丨東華軟件(002065.SZ)公佈，2020年1月9日，公司收到公司控股股東、實際控制人及其一致行動人的通知，建水同欣、薛向東、郭玉梅於2020年1月9日與騰訊科技簽署了《股份轉讓協議》。建水同欣、薛向東、郭玉梅擬通過協議轉讓的方式，將其合計持有的公司約1.57億股無限售流通股份(佔公司總股本的5.04%)，轉讓給騰訊科技。轉讓價格為9.171元/股，轉讓總價約為14.41億元。
此次協議轉讓前，騰訊科技曾増資東華誠信。騰訊科技此次以協議方式受讓建水同欣、薛向東、郭玉梅持有的公司股份的同時，將同步從東華誠信退出，不再持有東華誠信股權。此次權益變動後，建水同欣、郭玉梅將不再持有公司的股份，薛向東仍持有公司股份約3.85億股(佔公司總股本的12.35%)。
騰訊是目前中國最大的互聯網綜合服務提供商之一，也是中國服務用户最多的互聯網企業之一。截至本公告日，公司已與騰訊通過緊密合作、資源共享，在技術支持及服務等方面優勢互補，已經在醫療、金融和智慧城市領域展開深度合作，市場證明合作成果顯著。公司與騰訊攜手從行業軟件開發、生態渠道、行業客户拓展等多維度擴充實力；加速公有云服務與行業saas雲產品核心定位發展，推動快速全面轉型產業互聯網公司，共同創造良好的經濟效益和社會效益。
此次騰訊轉股事宜的完成，再次明確公司與騰訊的長期核心戰略合作伙伴關係。公司與騰訊強強聯合，基於雙方優勢互補，將重點圍繞傳統行業數字化轉型需求、聚焦醫療、政府、金融、能源等行業核心應用場景，重點繼續在醫療雲及醫療互聯網應用、智慧城市及行業saas產品、能源物聯網、金融大數據等方面展開更加深度合作，共同助力各行各業數字化轉型升級，符合公司整體戰略佈局。
未來雙方充分發揮持續協同效應，優化公司產業佈局，促進公司業務發展和產品延伸，有利於提高公司的產業整合能力和綜合盈利能力，增強公司在行業內的核心競爭力和市場影響力，助力公司可持續發展。
