湯臣集團(00258.HK):附屬與土控就張家浜楔形綠地項目訂立《補充框架協議》

格隆匯1月10日丨湯臣集團(00258.HK)公告稱,由於上海市人民政府已正式批准於2017年1月25日公告中所述的張家浜規劃變更建議,董事局宣佈公司全資附屬湯臣房地產、公司全資附屬湯臣高爾夫及上海浦東土地控股(集團)已於2020年1月10日訂立《補充框架協議》,以修改《交易協議》的條款。公司已同意就湯臣房地產於《補充框架協議》項下的税款補償義務提供保證,並承諾不得出售湯臣房地產的股份及不得轉讓有關經修訂用地任何權利。

公告顯示,經修訂用地位於北地塊及標示為中國上海市浦東張家浜楔形綠地的A2-04、A2-02及A2-21地塊。經修訂用地的總土地面積約為32.87萬平方米,作住宅用途。

鑑於在2017年1月25日公告中所述的張家浜規劃變更建議已獲批准、體育用地未能根據《交易協議》的規定交付予集團及集團投入心力予標的物業發展項目接近20年,《補充框架協議》及《保證函》乃為集團及土控於努力完成《交易協議》項下擬進行的交易中所遇到的控制規劃、法例及經營環境變動以及困難提供切實可行的解決方案。

鑑於(a)經修訂用地更加集中及遠離沿着原湯臣地塊北面延伸的高壓電纜區域;(b)儘管體育用地將不會交付予湯臣房地產,經修訂用地將仍被公益性用地環繞,而公益性用地相關的發展及未來運作及維護成本將不再由湯臣房地產承擔,而會由相關中國政府機構承擔;及(c)湯臣房地產或可享有若干權利參與環繞經修訂用地的公益性用地的設計及發展以及使用道路或其他配套(於取得相關規劃管理部門的批准/同意之前提下),公司認為,《補充框架協議》所產生的變更對湯臣房地產及公司整體而言屬有利。
