民眾金融科技(00279.HK)：收購Wins Finance產生的商譽減值須進行相應評估
格隆匯1月9日丨民眾金融科技(00279.HK)公佈，調查委員會及Wins Finance Holdings Inc.已於中國委聘外部獨立律師事務所環球律師事務所協助有關調查。於2020年1月9日，調查委員會及Wins Finance收到專業人士有關標的產品相關事務的報告。
調查報告概要載列如下：1.WinsFinance（作為委託人）附屬公司山西棟盛融資擔保有限公司與國泓資產管理有限公司（作為資產管理人）及恆豐銀行股份有限公司（作為資產託管人）就Wins Finance附屬公司投資資產的管理及託管訂立資產管理合約。根據Wins Finance資產管理合約及投資指示，Wins Finance附屬公司投資合共人民幣7.5億元，特定用作恆豐銀行南京分行的銀行同業存款。
2.於調查期間，自國泓資產管理、恆豐銀行南京分行及華林證券股份有限公司提供的掃描副本發現，國泓資產管理及若干其他方就人民幣7.5億籤立若干額外文件用於其他投資。Wins Finance或Wins Finance附屬公司均非額外文件復訂約方，且彼等先前均不知悉額外文件。截至本公佈日期，國泓資產管理已拒絕提供額外文件原件以作核實。
3.基於上文所述，發現並無證據表明Wins Finance或Wins Finance附屬公司知悉標的資產最終用於其他投資或指示如此行事。根據調查報告的結果，公司正就如何以符合公司及股東最佳利益的方式行事尋求法律意見。公司保留其權利並將採取所有可能補救措施，以根據Wins Finance資產管理合約就Wins Finance附屬公司的損失尋求賠償，包括但不限於對相關人士提起訴訟。然而，該過程不僅耗時，且存在重大不確定性。
考慮到上述情況，公司認為應確認標的產品餘額的悉數公平值虧損，而收購Wins Finance產生的商譽減值須予相應地評估。公司將據此編制中期業績及中期報告。鑑於上文所述，公司預期將於2020年1月10日或前後落實及刊發中期業績，一旦刊發中期業績，將申請恢復其股份買賣。公司亦預期將於2020年1月20日或前後刊發及寄發中期報告予股東。
