ST天成(600112.SH)內部控制存缺陷 收到警示函
格隆匯1月9日丨ST天成(600112.SH)公佈，公司於2020年1月7日收到中國證券監督管理委員會上海監管局(“上海證監局”)下發的《關於對上海創興資源開發股份有限公司採取出具警示函措施的決定》(滬證監決[2020]4號)，現將警示函主要內容公告如下：
“上海創興資源開發股份有限公司：
經查，你公司內部控制存在缺陷，通過勞務採購款的名義向供應商轉賬，再由供應商轉賬至你公司相關員工的個人賬户，最終轉賬至公司部分員工及關聯自然人的個人賬户，用於支付薪酬、劃轉資金和報銷費用，導致公司2018年度合併財務報表多計收入739.75萬元，佔2018年合併報表營業收入(修訂前)的3.23%，多計淨利潤232.41萬元，佔2018年合併報表淨利潤(修訂前)的7.49%。上述行為違反了《上市公司信息披露管理辦法》(證監會令第40號)第二條第一款的有關規定。
按照《上市公司信息披露管理辦法》第五十九條的規定，我局決定對你公司採取出具警示函的行政監管措施。你公司及相關人員應充分吸取教訓，加強相關法律法規學習，提高規範運作意識，認真履行信息披露義務，履行勤勉盡責義務，促使公司規範運作，保證信息披露的真實、準確、完整。
如果對本監督管理措施不服的，可以在收到本決定書之日起60日內向我會(中國證券監督管理委員會)提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提起訴訟。複議與訴訟期間，上述監督管理措施不停止執行。”
公司收到上述警示函後，公司董事會和管理層對此高度重視，立即向公司董事、監事、高級管理人員以及相關責任人進行了傳達。公司已就上述問題進行了自查和整改，並就相關會計差錯進行了更正(詳見公司於2019年12月17日發佈的《上海創興資源開發股份有限公司關於會計差錯更正的公告》【臨2019-044號】)。公司將汲取教訓，進一步加強公司董事、監事、高級管理人員及相關人員對《證券法》、《上市公司信息披露管理辦法》等法律法規、規範性文件及相關信息披露制度的學習，加強公司內部控制管理，提高公司的信息披露質量，提升公司規範運作水平，切實維護上市公司股東的合法權益，促進公司的健康、穩定和可持續發展。
