智慧能源(600869.SH)對蔡道國、顏秋娥等提起仲裁索償6.83億元
格隆匯1月8日丨智慧能源(600869.SH)公佈，近日，公司向上海仲裁委員會提起仲裁，請求裁決蔡道國、顏秋娥、蔡強支付補償款、逾期補償利息、公司實現債權的費用等合計人民幣6.83億元。
2015年7月，公司與蔡道國、顏秋娥、蔡強簽訂了《關於遠東智慧能源股份有限公司與蔡道國、顏秋娥、蔡強之發行股份及支付現金購買資產協議》，約定公司以發行股份及支付現金的方式受讓蔡道國、顏秋娥、蔡強合計持有的江西遠東電池有限公司100%股權。《購買資產協議》約定了應收賬款賬面價值補償義務：截至2014年12月31日，江西遠東電池經審計的累計應收賬款賬面價值為2.59億元。前述應收賬款中，在2017年12月31日前仍未收回的應收賬款賬面價值，則蔡道國、顏秋娥、蔡強各主體同意按實際未收回應收賬款賬面價值向江西遠東電池進行補償，該等補償需由蔡道國、顏秋娥、蔡強於公司針對江西遠東電池2017年度審計報告出具之日起3個月內以現金方式向江西遠東電池支付。每逾期一日，按應支付補償金額的萬分之五向江西遠東電池支付利息。
自蔡道國、顏秋娥、蔡強按上述約定向公司補償未收回應收賬款賬面價值之日起，江西遠東電池將上述應收賬款的債權轉讓給蔡道國、顏秋娥、蔡強，由蔡道國、顏秋娥、蔡強享有相關權利承擔相應義務。同時根據《購買資產協議》，如違反協議相關約定，蔡道國、顏秋娥、蔡強承擔與之有關的一切費用，並承擔違約責任。
2018年4月，公證天業會計師事務所出具的江西遠東電池《2017年度審計報告》顯示，截至2017年12月31日，江西遠東電池經審計的應收賬款賬面價值為人民幣5.4億元。蔡道國、顏秋娥、蔡強需根據《購買資產協議》約定向江西遠東電池進行補償人民幣5.4億元。截至本公告日，蔡道國、顏秋娥、蔡強尚未補償，已構成違約。為維護公司利益，公司向上海仲裁委員會提起如下仲裁請求。
