愛爾眼科(300015.SZ)擬18.7億元收購多家眼科醫院
格隆匯1月8日丨愛爾眼科(300015.SZ)披露發行股份及支付現金購買資產並募集配套資金報告書，上市公司擬以發行股份方式購買磐信投資、磐茂投資合計持有的天津中視信100%股權，擬以發行股份及支付現金方式購買眾生藥業持有的奧理德視光100%股權與宣城眼科醫院80%股權(該等股權對應的交易作價中的70%部分擬由上市公司以現金方式支付)，擬以發行股份方式購買李馬號、尚雅麗、重慶目樂合計持有的萬州愛瑞90%股權與開州愛瑞90%股權，該等股權的交易作價合計約18.7億元。
同時，上市公司擬向不超過5名特定投資者以發行股份方式募集配套資金，募集配套資金總額不超過7.1020億元，不超過此次擬以發行股份方式購買資產交易價格的100%。此次募集配套資金髮行股份的數量不超過上市公司此次交易前總股本的20%(即不超過約6.2億股)，最終發行數量將在中國證監會核准後，按照《發行管理辦法》的相關規定，根據詢價結果最終確定。
此次交易前，愛爾投資直接持有上市公司約11.71億股股份(占上市公司已發行股份總數的37.81%)，為上市公司的控股股東；陳邦直接持有愛爾投資79.99%股權並直接持有上市公司約5.07億股股份(占上市公司已發行股份總數的16.37%)，故其直接及間接控制上市公司合計54.18%股權，為上市公司實際控制人。此次交易完成後(不考慮募集配套資金)，愛爾投資將直接持有上市公司37.10%股權，陳邦將直接持有上市公司16.06%股權，陳邦將直接及間接控制上市公司合計53.16%股權。因此，此次交易完成後，愛爾投資仍為上市公司控股股東，陳邦仍為上市公司實際控制人。
此次上市公司擬收購多家眼科醫院，屬於公司原有業務的擴展，有助於實現自身的業務協同。
此次交易完成後，上市公司在眼科醫療服務領域的市場佔有率與業務規模將進一步得到擴大和提升，有利於幫助上市公司把握行業發展機遇期，加快佔領市場份額和行業整合，擴大人才團隊，增強區域醫院的協調效應；有助於加快上市公司眼科醫院的全國網絡建設步伐，完善網點佈局，為上市公司持續、快速、健康發展提供堅實的基礎，加強與鞏固行業領先地位。
