星網鋭捷(002396.SZ)控股子公司以1.43億元成功競得北京海淀區中關村相關房產
格隆匯1月8日丨星網鋭捷(002396.SZ)公佈，鋭捷網絡股份有限公司(“鋭捷網絡”)是公司持股51%的控股子公司。經公司第五屆董事會第十五次會議審議通過《關於公司控股子公司鋭捷網絡股份有限公司擬參與司法拍賣購買房產的議案》，同意控股子公司鋭捷網絡參與北京市第三中級人民法院組織的位於北京市海淀區中關村南大街甲18號院1-4號樓C座12-14層房產(辦公用房)的司法拍賣。
鋭捷網絡通過淘寶網司法拍賣網絡平台以約1.43億元成功競得位於北京市海淀區中關村南大街甲18號院1-4號樓14層C座14-14C、13 層C 座13-13C、12 層C 座12-12C 的房產。鋭捷網絡已支付全部價款，並於近日收到了北京市第三中級人民法院出具的《執行裁定書》((2019)京03執1150號之一)，裁定如下：
(一)註銷被執行人北京信威科技集團股份有限公司名下位於北京市海淀區中關村南大街甲18號院1-4號樓14層C座14-14C、13 層C 座13-13C、12 層C 座12-12C 房產的抵押登記。
(二)解除對被執行人北京信威科技集團股份有限公司名下位於北京市海淀區中關村南大街甲18號院1-4號樓14層C座14-14C、13 層C 座13-13C、12 層C 座12-12C 房產的查封。
(三)被執行人北京信威科技集團股份有限公司名下位於北京市海淀區中關村南大街甲18號院1-4號樓14層C座14-14C、13 層C 座13-13C、12 層C 座12-12C房產歸買受人鋭捷網絡股份有限公司(社會統一信用代碼為913500007549617646)所有，財產所有權自本裁定書送達買受人鋭捷網絡股份有限公司時起轉移。
(四)買受人鋭捷網絡股份有限公司可持本裁定書到相關登記部門辦理房產過户登記手續。
此次拍賣標的評估價格約人民幣1.98億元，起拍價格約人民幣1.11億元。鋭捷網絡以競價方式購買上述房產，成交價格約1.43億元，低於拍賣標的評估價格，此次交易定價合理，不存在損害公司和全體股東特別是中小股東的利益行為。
此次控股子公司鋭捷網絡參與競拍購買房產，是作為鋭捷網絡辦公用地使用，同時基於公司未來整體戰略發展需求，為生產經營提供必要的保障，增強公司持續發展能力。鋭捷網絡使用自有資金參與競拍，符合公司長遠發展規劃，符合全體股東和公司利益，不會對公司財務狀況及經營業績產生重大影響。
