金一文化(002721.SZ)：北京三中院經審查認為借款合同糾紛案有經濟犯罪嫌疑 駁回華貿工經的起訴
格隆匯1月7日丨金一文化(002721.SZ)公佈，公司於2019年5月22日發佈了《關於公司涉及違規擔保及訴訟事項的公告》，公司收到北京市第三中級人民法院(“北京三中院”)出具的《民事應訴通知書》(2019)京03民初21號，中國華貿工經有限公司(“華貿工經”)與朱康軍、公司借款合同糾紛一案由北京三中院受理，具體情況如下：2018年7月7日，華貿工經與朱康軍簽署人民幣2.1億元《借款協議》。2018年7月8日，華貿工經與朱康軍、上市公司簽署《保證合同》。因朱康軍未按照《借款協議》約定向原告償還借款，原告華貿工經要求朱康軍向原告償還借款本金、罰息及為實現債權產生的費用。根據《保證合同》第1.1條，公司承擔保證擔保的範圍包括主合同項下本金2.1億元整的償還義務。
公司獲悉上述事項後，積極使用法律手段委託專業律師團隊處理以上涉訴事宜。受託律師請求法院依法駁回華貿工經對金一文化的訴訟請求，維護金一文化的合法權益。主要理由為：(一)《借款協議》是基於非法的基礎關係轉化的借貸關係，應屬無效。(二)《保證合同》未經金一文化董事會審議和股東大會決議，違反了屬於強制性法律規定的公司法第16條，且涉嫌損害社會公共利益、損害第三人合法權益，應屬無效。(三)華貿工經主觀及客觀上均存在惡意和重大過錯，其不是善意相對人。華貿工經未盡審查義務，擔保無效的後果應由華貿工經自行、獨立承擔。綜上，金一文化對未經董事會、股東大會審議通過且自始不知情的涉案擔保，不應承擔任何責任。
公司於近日收到北京三中院出具的(2019)京03民初21號《民事裁定書》，北京三中院經審查認為，《最高人民法院關於在審理經濟糾紛案件中涉及經濟犯罪嫌疑若干問題的規定》第十一條規定，人民法院作為經濟糾紛受理的案件，經審理認為不屬經濟糾紛案件而有經濟犯罪嫌疑的，應當裁定駁回起訴，將有關材料移送公安機關或檢察機關。根據現有證據，本案有經濟犯罪嫌疑，不屬於人民法院受理民事訴訟的範圍，應當移送有關部門。
依照《中華人民共和國民事訴訟法》第一百五十四條第一款第三項、《最高人民法院關於適用<中華人民共和國民事訴訟法>的解釋》第二百零八條第三款、《最高人民法院關於在審理經濟糾紛案件中涉及經濟犯罪嫌疑若干問題的規定》第十一條規定，裁定如下：
駁回原告中國華貿工經有限公司的起訴。
如不服本裁定，可以在裁定書送達之日起十日內，向本院遞交上訴狀，並按照對方當事人或者代表人的人數提出副本，上訴於北京市高級人民法院。
(2019)京03民初21號《民事裁定書》為北京三中院出具的一審裁定，公司尚無法判斷該事項對本期利潤或期後利潤的影響。公司董事會將密切關注本案的進展情況，及時履行信息披露義務。
