深桑達Ａ(000032.SZ)：籌劃購買中國系統96.719%股權 明起停牌
格隆匯1月7日丨深桑達Ａ(000032.SZ)公佈，公司收到公司實際控制人中國電子信息產業集團有限公司(“中國電子”)和控股股東中國中電國際信息服務有限公司(“中電信息”)的通知，目前正在籌劃重大資產重組事宜，涉及上市公司發行股份購買資產並募集配套資金。此次交易預計將構成重大資產重組，發行股份購買資產事項需按照《上市公司重大資產重組管理辦法》規定履行相關程序。
經公司申請，公司證券自2020年1月8日開市時起開始停牌，預計停牌時間不超過5個交易日。
此次標的資產的名稱：中國電子系統技術有限公司96.719%股權(“標的股權、中國系統”)，中國電子系統技術有限公司經營範圍：承包各類電子系統工程機電設備工程以及相關的建築工程；承包有關電子行業和國外工程和境內外資工程；從事與上述業務有關的勘察設計、設備成套服務、設備安裝、調試和維修、工程諮詢、技術諮詢、技術服務；對外派遣與其實力、規模、業績相適應的國外工程項目的勞務人員；電子系統成套設備的開發、研製、生產、展銷和銷售、服務；從事節能、環保及綠色能源項目的技術開發、技術諮詢、技術服務；從事污水處理、固體廢棄物及大氣環境治理項目的技術開發、技術諮詢、技術服務；城市供熱工程設計及安裝檢修；天燃氣建設項目的技術諮詢；軟件開發；計算機系統服務；房屋建築工程施工總承包；熱力供應；物業管理；機動車公共停車場服務；銷售電子產品、通信設備、機電設備、儀器儀表、計算機軟硬件及輔助設備；貨物進出口；技術進出口；代理進出口；企業管理；城鄉生活垃圾清掃、收集、運輸。(企業依法自主選擇經營項目，開展經營活動；依法須經批准的項目,經相關部門批准後依批准的內容開展經營活動；不得從事本市產業政策禁止和限制類項目的經營活動。)
公司控股股東中電信息已與交易對方之一暨公司實際控制人中國電子簽署了《重大資產重組框架協議》，雙方同意，上市公司將以發行股份及/或支付現金的方式，購買中國電子信息產業集團有限公司等目標公司股東合計持有的目標公司96.719%股權，即此次交易的標的資產。雙方應積極促使此次交易各方參與或配合此次交易。
