東材科技(601208.SH)被確認為勝通光科重整投資人招募項目的中標單位
格隆匯1月7日丨東材科技(601208.SH)公佈，2020年1月6日，公司召開第五屆董事會第二次臨時會議，審議通過了《關於授權公司董事長參與山東勝通光學材料科技有限公司重整投資人招募項目競爭性談判的議案》。2020年1月7日，公司董事長參加山東勝通光學材料科技有限公司重整投資人招募項目的競爭性談判，並於當日收到管理人出具的《中標通知書》，經評審委員會評審：確認公司為山東勝通光學材料科技有限公司(“勝通光科”)的中標單位，中標金額為人民幣5.56億元。
標的公司公司名稱：山東勝通光學材料科技有限公司(山東勝通集團股份有限公司的全資子公司)經營範圍：BOPET光學膜的生產銷售、科技研發、技術推廣服務、自營及代理進出口業務(國家限制和禁止經營的除外)。
此次競爭性談判擬購買的資產為：勝通集團所持有勝通光科100%的股權及勝通光科主要資產：存貨、無形資產(土地、專利及專有技術)、固定資產(房屋建築物、構築物及其他、機器設備、車輛、電子設備)；應收賬款、預付賬款、其他應收款及所有負債全部剝離。
公司一直致力於化工新材料的研發、製造和銷售，以新型絕緣材料為基礎，重點發展光學膜材料、環保阻燃材料、電子材料等系列產品。2015年7月，公司全資子公司江蘇東材以超募資金在江蘇海安投資建設“年產2萬噸光學級聚酯基膜項目”試車投產，後續不斷改進工藝技術，優化產品結構，積累了較為豐富的光學級聚酯基膜的製備技術和生產經驗。目前，公司以自有資金投資建設的年產15000噸特種聚酯薄膜項目正處於試車調試階段；以自有資金投資建設的年產2萬噸OLED顯示技術用光學級聚酯基膜項目將於2021年試車投產。
如果公司能夠成功收購勝通光科，未來公司將擁有5條光學級聚酯基膜生產線，可大幅縮短公司在光學級聚酯基膜領域的擴能週期，減少未來另行投建新線所面臨的市場不確定性風險。此外，鑑於公司與勝通光科在光學基膜領域有高度契合性，收購勝通光科後可以快速整合市場優勢資源，與勝通光科形成品牌與技術上的互補優勢，快速佔據光學基膜市場的主導地位。
