海洋王(002724.SZ)擬2.71億元收購明之輝51%股權
格隆匯1月7日丨海洋王(002724.SZ)披露發行股份及支付現金購買資產並募集配套資金報告書，上市公司擬通過發行股份及支付現金相結合的方式，購買朱愷、童莉和萊盟建設持有的明之輝51%股權，交易金額為約2.71億元，其中交易對價的75.00%以發行股份的方式支付，交易對價的25.00%以現金方式支付。
此次交易上市公司擬以詢價方式向不超過10名特定投資者非公開發行股票募集配套資金，上市公司此次募集配套資金不超過13566.00萬元，用於支付此次收購標的資產的現金對價6783.00萬元、中介機構費用，並用於標的公司補充流動資金不超過5600.00萬元。此次募集配套資金扣除中介機構費用後，優先支付此次交易的現金對價，剩餘資金用於標的公司補充流動資金。
標的公司主要從事照明工程施工、設計、維保業務及裝飾裝修工程業務。標的公司系高新技術企業，擁有行業領先的照明工程施工能力和設計能力，已取得我國照明工程行業和建築裝修裝飾行業的《照明工程設計專項甲級》、《城市及道路照明工程專業承包一級》、《建築裝修裝飾工程專業承包一級》、《建築裝飾工程設計專項甲級》等四項資質。
標的公司專注於市政照明工程、地產照明工程和文旅景觀照明工程等照明工程及建築裝飾裝修工程。近年來工程業績極為顯著，承攬了國內眾多工程項目的設計與施工，參與深圳、青島、長沙、長春、重慶等國內許多省市地方政府大型市政工程項目；為國內許多著名地產商及企業集團提供照明工程服務，如萬達集團、華潤置地、綠景地產、綠地控股集團等；並積極開拓建築裝飾裝修業務。公司在行業內具有較高的知名度。
業績承諾方以標的公司2020年度、2021年度、2022年度擬實現的經審計扣除非經常性損益前/後的歸屬於母公司的淨利潤金額孰低進行承諾，分別為6100萬元、6400萬元、6500萬元，三年累計承諾淨利潤為1.9億元(“承諾淨利潤”，扣除因實行股權激勵構成股份支付對淨利潤指標的影響)。若此次交易未能於2020年度實施完畢，則業績承諾期順延，承諾淨利潤將根據業績承諾期間的變更作相應調整。
