格隆匯1月7日丨海寧皮城(002344.SZ)公佈,公司擬調整成都海寧皮革城二期項目開發內容和開發模式,將項目建設內容由創意總部樓等調整為萬朵城文商體旅綜合體項目,開發模式調整為合作開發。

成都海寧皮革城項目由公司全資子公司成都海寧皮革城有限公司(“成都公司”)開發建設,項目位於成都市新都區北部商城北新幹線和新城大道西延線交叉口西北角,建設內容包括皮革市場、創意總部樓等。現有一期項目成都海寧皮革城市場已於2012年9月開業,市場建築面積約22萬方,開業至今經營情況良好。基於一期的皮革市場已滿足當地對皮革服裝市場的需求,同時近年來受宏觀經濟、行業形勢及線上購物對實體商業經營的影響以及當地商業環境的變化,二期後續項目一直未建,目前尚餘約42.21畝用地未開發。

為有效盤活存量資產,提高公司經營效益,公司擬對成都海寧皮革城二期項目的開發內容和模式進行調整。由公司全資子公司海寧中國皮革城投資有限公司(“投資公司”)與鴻翔控股集團有限公司(“鴻翔控股”)及浙江恆地實業發展有限公司(“恆地實業”)共同出資設立合資公司,以成都“三市三城”城市品牌戰略為契機,引入文化旅遊體育產業,合作開發建設二期萬朵城文商體旅綜合體項目。

擬使用成都海寧皮革城項目中面積約42.21畝(具體以國土部門認定為準)的二期存量用地,用於合作開發建設成都皮革城二期萬朵城文商體旅綜合體項目。該項目主要包括萬朵城(全民健身中心)、配套商業用房和室外運動場地等(具體以取得的政府設計方案批覆及建設工程規劃許可證等政府文件記載內容為準),總建築面積約13.2萬平方米,其中地上建築面積12萬平方米,投資約7億元(不含土地成本)。預計建成後將最大程度滿足成都市新都區及周邊區域體育運動、健身休閒、購物娛樂等需求。

公司調整成都海寧皮革城項目二期開發內容和模式,並參股合資公司,將有效盤活存量資產,規避土地閒置風險,同時後續合資公司擬在上述二期存量用地周邊開發建設新項目,通過合作開發公司將獲取相應的土地增值收益和項目開發收益,同時也能引流皮革市場,優化資源配置,預計對上市公司未來業績將產生積極影響。
