高爭民爆(002827.SZ)：非獨立董事兼總經理張恩辭職
格隆匯1月7日丨高爭民爆(002827.SZ)公佈，公司董事會於近日收到公司非獨立董事兼總經理張恩、非獨立董事尼瑪次仁、非獨立董事兼常務副總經理巴桑頓珠、職工監事王靠斌的書面辭職報告。
張恩因達到法定退休年齡並經組織批准退休，現申請辭去其擔任的公司非獨立董事、總經理、提名委員會成員職務。根據《公司法》、《公司章程》等相關法律法規的規定，張恩先生辭去上述職務後，不會影響公司經營管理層規範運作和正常生產經營。張恩的辭職報告自送達公司董事會之日起生效。張恩辭職後，將不再擔任公司的任何職務。截止目前，張恩未持有公司股票。
尼瑪次仁因達到法定退休年齡並經組織批准退休，現申請辭去其擔任的公司非獨立董事職務。根據《公司法》、《公司章程》等相關法律法規的規定，尼瑪次仁辭去上述職務後，不會影響公司經營管理層規範運作和正常生產經營。尼瑪次仁的辭職報告自送達公司董事會之日起生效。尼瑪次仁辭職後，將不再擔任公司的任何職務。截止目前，尼瑪次仁未持有公司股票。
巴桑頓珠因公司職務變動的原因，現申請辭去其擔任的公司非獨立董事、常務副總經理職務。根據《公司法》、《公司章程》等相關法律法規的規定，巴桑頓珠辭去上述職務後，不會影響公司經營管理層規範運作和正常生產經營。巴桑頓珠的辭職報告自送達公司董事會之日起生效。巴桑頓珠先生辭職後，將不再擔任公司的任何職務。截止目前，巴桑頓珠未持有公司股票。
王靠斌因公司職務變動的原因，現申請辭去其擔任的公司職工監事職務。根據《公司法》、《公司章程》等相關法律法規的規定，王靠斌的辭職將導致公司職工代表監事人數少於監事會成員的三分之一，該辭職申請將於職工代表大會補選新任職工代表監事後生效，在此之前，王靠斌將繼續按照有關規定和要求繼續履行監事職責。王靠斌辭職後，將不再擔任公司的任何職務。截止目前，王靠斌未持有公司股票。
