恆星科技(002132.SZ)董事會審議通過引進政府引導基金投資全資子公司並簽署相關協議的議案
格隆匯1月6日丨恆星科技(002132.SZ)公佈，公司擬與鄂爾多斯市轉型發展投資有限責任公司發起設立的政府引導基金共同設立合夥企業，該合夥企業所取得的資金以註冊資金或股東借款的形式全部投資於公司全資子公司內蒙古恆星化學有限公司(“恆星化學”)。
2019年12月9日，公司與上述政府引導基金母基金鄂爾多斯市君瀚發展投資中心(有限合夥，“君瀚發展”)簽署了《投資合作意向協議》。
2020年1月2日，公司、恆星化學與君瀚發展、寧波梅山保税港區膜天君富投資管理有限公司簽訂了《鄂爾多斯市君煜新材料產業投資中心(有限合夥)合夥協議》、《鄂爾多斯市君瀚發展投資中心(有限合夥)與內蒙古恆星化學有限公司及河南恆星科技股份有限公司關於內蒙古恆星化學有限公司之
<股權投資協議>

2020年1月6日，公司召開第六屆董事會第三次會議，審議通過了《關於引進政府引導基金投資全資子公司並簽署相關協議的議案》，後續公司將根據該事項進展情況及時履行信息披露義務。
公司此次出資的資金為企業自籌資金，不會影響公司正常經營活動的開展，對公司財務狀況和經營成果不構成重大影響。
公司此次引進政府引導基金並投資於恆星化學，旨在為恆星化學及其項目建設引進資金，不涉及上市公司體外尋找或孵化早中期、初創期企業等風險投資事項，僅用於恆星化學項目建設及運營使用。本次與政府引導基金成立合夥企業是以間接的形式投資於恆星化學，投向清晰可控，不會對項目建設產生不利影響，不會對公司資金安全產生不利影響，不存在損害公司及全體股東利益的情形。此外，該投資若得以順利進行，隨着政府產業引導基金的進入，將會對公司的長遠發展產生積極影響，不僅會使恆星化學有機硅項目得到資金支持，更會為恆星化學與其他金融機構合作中提高增信，從而推動恆星化學有機硅項目的順利推進。
