妙可藍多(600882.SH)旗下吉林科技擬引進內蒙蒙牛戰略入股42.88%
格隆匯1月6日丨妙可藍多(600882.SH)公佈，公司下屬全資子公司吉林省廣澤乳品科技有限公司(“吉林科技”、“目標公司”)擬以增資擴股方式引進戰略投資者——內蒙古蒙牛乳業（集團)股份有限公司(“內蒙蒙牛”、“投資方”），內蒙蒙牛擬以現金約4.58億元對吉林科技進行增資擴股，佔吉林科技增資後註冊資本的42.88%。公司的實際控制人承諾為目標公司、公司履行關於前述交易的投資協議項下的義務提供連帶責任保證擔保。
目標公司、控股股東及實際控制人承諾，天津妙可、上海芝然2019年至2021年每一會計年度末累積實現的淨利潤數合計(“當期期末累積實際淨利潤數”)不低於中水致遠資產評估有限公司出具的《資產評估報告》中預測的天津妙可、上海芝然相應年度淨利潤數的累積合計數，即2019年不低於3039.82萬元、2019、2020年合計不低於7417.35萬元、2019、2020、2021年合計不低於15700.95萬元。
此次全資子公司增資擴股引進戰略投資者內蒙蒙牛，與此同時公司與內蒙蒙牛、控股股東柴琇簽署《戰略合作協議》，引入戰略投資者符合公司長期發展戰略，能夠降低公司資產負債率，增強營運能力和抗風險能力，未來雙方將充分發揮各自優勢，積極開展各類奶酪產品的開發和推廣，並進行銷售渠道共建、營銷資源共享、產能佈局提升等多方面、多維度的業務合作。吉林科技作為公司奶酪業務的生產主體，通過引進外部投資，大幅增厚資金實力，能夠更好地進行產能擴張，加速搶佔中國奶酪市場，從而有利於鞏固公司奶酪業務的領先地位，提升上市公司整體競爭力和品牌影響力，進一步擴大公司業務規模和盈利水平。
此次對子公司增資擴股完成後，將稀釋公司對目標公司所持股權比例，減少公司從標的公司獲取的權益，但不會導致公司合併報表範圍變更，不會對公司生產經營造成重大影響。吉林科技仍為公司控股子公司，不會導致公司合併報表範圍發生變化。
