連續4個漲停的九鼎投資(600053.SH)提示風險 2018-2019年未有在管基金參股項目獲中證監IPO核准批覆
格隆匯1月3日丨九鼎投資(600053.SH)公佈，公司股票交易於2019年12月30日、12月31日及2020年1月2日連續三個交易日內日收盤價格漲幅偏離值累計超過20%，公司已根據《上海證券交易所股票上市規則》等有關規定，披露了《股票交易異常波動公告》、公司控股股東江西中江集團有限責任公司(“中江集團”)和實際控制人(吳剛、黃曉捷、吳強、蔡蕾和覃正宇)出具的《致昆吾九鼎投資控股股份有限公司的回覆函》。
2020年1月3日，公司A股股票收盤價格漲幅10.01%。截至2020年1月3日，公司股票已連續4個交易日漲停，價格波動較大，敬請廣大投資者關注投資風險，理性投資，現將有關風險提示如下：
一、公司的主營業務之一為私募股權投資管理業務，2018-2019年期間，公司未有在管基金參股項目獲得中國證監會IPO核准批覆；公司的主營業務之二為房地產開發與經營，目前公司主要經營存量房地產項目的開發與銷售，未有新增土地儲備。上述經營情況對公司未來的經營業績的不確定性存在一定的影響。
二、根據萬得資訊顯示，截至2020年1月3日，申萬多元金融III板塊市盈率為(TTM，中值)為24.1426倍，市淨率(中值)為2.7342倍，公司市盈率(TTM)為39.1倍，市淨率(LF)為6.47倍，公司市盈率、市淨率均明顯高於行業平均水平。公司特別提醒廣大投資者注意二級市場交易風險，理性決策、審慎投資。
三、2018年3月23日，公司間接控股股東同創九鼎投資管理集團股份有限公司收到中國證監會《調查通知書》(編號：滬調查字2018-1-068 號)，內容為：“因涉嫌違反證券法律法規，根據《中華人民共和國證券法》的有關規定，中國證監會對你公司進行立案調查。”截至公告披露日，上述事項尚處於調查過程中。
四、公司直接控股股東中江集團持有公司股份數量約3.1374億股，佔公司總股本比例為72.37%。截止公告披露日，中江集團質押的股份數量約2.5033億股，佔所持股份比例為79.79%，佔公司總股本比例為57.74%。
