其士國際集團(00025.HK)擬3.28億港元出售美國七間安老院舍物業
格隆匯1月2日丨其士國際集團(00025.HK)發佈公告，2020年1月2日，賣方(為公司間接全資擁有的附屬公司)與Agemark Acquisition LLC訂立該協議，據此，買方有條件地同意收購於各目標公司的該等權益，總代價為4201.5萬美元(約3.277億港元)。
將出售的資產包括NC4 Oliver, LLC 98.6%股權；NC4 Edenton, LLC 98.6%股權；NC4 Cedarmtn, LLC 98.6%股權；NC4 Hayesville, LLC 98.6%股權；NC4 Autumn Village, LLC 100%股權；NC4 Williamston, LLC 100%股權；及 NC4 Windsor, LLC 98.6%股權及NC4 Windsor II, LLC 100%股權。該等權益將不附帶任何按揭、質押、留置權、押記、抵押權益、索償或其他產權負擔出售。
目標公司擁有的主要資產為該等物業的權利、業權及權益，該等物業為位於美國北卡羅來納州的七間安老院舍設施，而目標公司擁有的其他資產包括樓宇設備、醫療設備、無形資產及所有消耗品庫存，如藥用品、醫療用品、處方和非處方藥物或設備及其他辦公設備及食品，該等物品純粹用於該等物業（作為安老院舍）的營運及保養。
該等物業包括位於美國北卡羅來納州的七間安老院舍物業，即分別為Autumn Village、Cedar Mountain House、Edenton House、Hayesville House、Oliver House、Williamston House及 Windsor House，總建築面積為164,775平方尺，合共提供492張牀位，以提供協助起居及╱或失智護理服務。
公告表示，集團自2011年起於美國投資安老院舍物業及相關設施。集團將不時調整組合，以提高集團安老院舍投資的整體表現。考慮到眾多因素，包括但不限於當地經濟及人口分佈、對安老院舍服務的市場供求、該等物業的上升潛力及當前實際狀況，集團決定出售持有該等物業的目標公司，並將資源重新分配至集團的其他保健護理相關投資。
