宜通世紀(300310.SZ)孫公司與聯通物聯網公司簽訂《<物聯網業務合作協議>補充協議》
格隆匯1月2日丨宜通世紀(300310.SZ)公佈，公司之全資孫公司愛雲信息技術(北京)有限公司(“愛雲信息”)於2019年12月31日與聯通物聯網有限責任公司(“聯通物聯網公司”)簽訂了《
<物聯網業務合作協議>
補充協議》。
在愛雲信息、中國聯合網絡通信有限公司、Jasper TechnologyInc(“Jasper”)三方就物聯網業務合作事宜達成一致意向的背景下，於2014年9月簽訂了關於物聯網(M2M)業務合作的《諒解備忘錄》。2014年10月，愛雲信息和Jasper訂立《代理協議》，約定愛雲信息作為Jasper的中國大陸獨家代理商，向中國聯合網絡通信有限公司提供物聯網平台服務；2014年11月，愛雲信息和中國聯合網絡通信有限公司簽訂了《物聯網業務合作協議》(CU12-1001-2014-001191)，約定愛雲信息向中國聯通提供基於Jasper物聯網平台的M2M業務運營支撐服務等。
2018年3月16日，中國聯合網絡通信有限公司設立全資子公司聯通物聯網有限責任公司，聯通物聯網公司負責中國聯通物聯網平台的統一規劃、建設和維護管理，其成立後承接愛雲信息與中國聯合網絡通信有限公司原有的業務。愛雲信息於2018年11月與聯通物聯網公司簽訂《物聯網業務合作協議》(LW93-0401-2018-000026)(“原協議”)，該協議有效期至2019年12月31日止。
愛雲信息與Jasper已續簽《代理協議》，愛雲信息作為Jasper在中國大陸指定代理商，向中國聯合網絡通信有限公司提供物聯網平台服務，協議有限期至2024年12月31日。
基於各方繼續良好合作的意願，愛雲信息與聯通物聯網公司已於2019年12月31日簽訂了《
<物聯網業務合作協議>
補充協議》，一致同意延長原協議期限至2024年12月31日，並對原協議內容進行部分修改和補充。
協議有效期至2024年12月31日，協議簽訂後若順利實施，預計對公司2020年度及以後年度的經營業績及經營性現金流將產生積極影響。協議的簽訂對公司業務、經營的獨立性不會產生影響，公司不會因此對聯通物聯網公司形成業務依賴。由於在豐富的物聯網產業鏈條和多樣化的業態模式中，大部分物聯網數據依舊需要藉助電信運營商掌握的網絡資源進行傳輸，電信運營商因其掌握了大量用户和網絡資源，在物聯網產業鏈條中扮演了極其重要的角色。運營商市場在一定程度上即為物聯網市場的制高點。愛雲信息與Jasper和中國聯通在物聯網領域的合作，搶佔了物聯網行業制高點，有利於推動公司未來物聯網業務的拓展。
