*ST毅昌(002420.SZ)擬對各項資產計提資產減值準備及預計負債合計6339.09萬元
格隆匯1月2日丨*ST毅昌(002420.SZ)公佈，公司於2019年12月31日召開第五屆董事會第五次會議、第五屆監事會第三次會議，審議通過了《關於計提資產減值準備及預計負債的議案》。
公司位於廣州高新技術產業開發區科學城科豐路29 號的土地使用權及廠房於北京時間2019 年10 月30 日在南方聯合產權交易中心公開發布轉讓信息，掛牌期滿後同屬公司實際控制人熊海濤女士實際控制的廣州華南新材料創新園有限公司（簡稱“華新園公司”）取得受讓資格。隨後，公司與華新園公司簽署了《資產轉讓協議》，並已於近日完成產權變更手續。鑑於一期土地及廠房已轉讓，公司需逐步處置已轉讓廠房中的閒置固定資產，同時結合公司戰略需求，將原工廠部分業務轉移到公司其他子公司，工廠進行重新佈局，並分流安置原工廠部分職工，對不接受分流安置方案的員工均通過協商等形式依法予以解除或變更勞動合同關係。
公司出於謹慎性原則考慮，為真實反映公司截止2019年12月31日的財務狀況及經營成果，根據《企業會計準則第8條-資產減值》及《企業會計準則第13 號－或有事項》的相關規定，公司將對終止使用或者計劃提前處置的資產計提減值準備，對因解除與職工的勞動關係而給予補償計提預計負債。
經過公司對2019年12月31日存在的可能發生減值跡象的資產及預計費用，範圍包括固定資產、無形資產、模具資產、長期待攤費用、員工補償費用、廠房設備搬遷費用等，進行全面清查和資產減值測試後，2019年1-12月擬對各項資產計提資產減值準備及預計負債合計6339.09萬元。
公司此次資產減值準備及預計負債擬計提共計6339.09萬元，準備計入公司2019年度損益，共計減少公司2019年度歸屬於上市公司股東的淨利潤約6339萬元，合併報表歸屬於母公司所有者權益減少約6339萬元。
