王子新材(002735.SZ)：擬設立泰國王子及購買泰中羅勇工業園一宗工業地
格隆匯1月2日丨王子新材(002735.SZ)公佈，為開拓消費電子業務與環保包裝業務，挖掘東南亞市場潛力，推進經營業務全球化戰略，公司(含下屬子公司)擬以不超過2000萬美元的自有資金在泰國投資，資金主要用於設立二級子公司、購買土地、基礎建設、採購生產設備和原材料等生產經營。擬設立的二級子公司暫定名WANGZI(THAILAND) CO.,LTD.(中文名為王子(泰國)有限公司，具體以最終泰國屬地登記機關核定為準，“泰國王子”)，註冊資本為500萬泰銖，股東分別為深圳栢興科技有限公司(“栢興科技”)、深圳市創想環球貿易有限公司(為“創想環球”)、深圳新諾包裝製品有限公司(“深圳新諾”)、雷傑、戴德平和廖仲和，持股比例分別為95%、1%、1%、1%、1%和1%，同時授權公司管理層辦理泰國王子設立的有關事宜。
公司擬通過栢興科技與THAI-CHINESE RAYONG INDUSTRIAL REALTY DEVELOPMENT CO.,LTD.(中文名為泰中羅勇工業園開發有限公司，“泰中羅勇”)簽訂土地購買意向協議，購買位於泰國羅勇府泰中羅勇工業園內的工業用地，用於泰國王子基地建設和生產經營，同時授權公司管理層辦理購買土地的有關事宜。
公司名稱：WANGZI(THAILAND)CO.,LTD.(暫定名，中文名為王子(泰國)有限公司)經營範圍：無線充電產品及可充式電池、充電寶(以上項目不含危險化學品)及充電器、數碼電子產品及其零配件、電子煙及電子霧化器、動力電池及電動工具電池、儲能電池及儲能系統配件的研發、生產及銷售；智能電動滑板車、電動平衡車、智能電動自行車的生產與銷售；塑料製品、泡沫塑料、機電設備、機械設備及零配件、紙製品、包裝材料、模具的研發、生產及銷售；儀器儀表的銷售；貿易代理服務；貨物及技術進出口；質檢技術服務。
深圳栢興科技有限公司購買該土地，土地單價為410萬泰銖/萊，土地款總價約為4141.615萬泰銖，按人民幣與泰銖1:4.3匯率計算約為人民幣約963.17萬元。最終土地款價格按測繪後實際面積乘以土地單價為準。
此次對外投資是基於公司整體戰略規劃及經營需求，對公司未來業務規模擴大和業績增長將產生積極作用。此外，針對全球貿易局勢的變化，通過海外投資設立子公司有助於公司應對未來的貿易風險。
此次購買土地可解決泰國王子的生產基地選址與建設用地問題，提升公司整體形象與實力；同時，行政辦公與工廠將位於同一區域，便於管理，提升了工作效率和經營效率。此次購買土地的資金為公司的自有資金，對公司日常經營的現金流轉不會產生重大影響。購入後將納入企業固定資產核算，對進一步改善公司資產結構、增強抗風險能力、保持長期穩定發展，具有積極的作用。
