雪人股份(002639.SZ)與中鐵投資簽署戰略合作協議
格隆匯1月2日丨雪人股份(002639.SZ)公佈，公司(“乙方”)近日與中鐵投資集團有限公司(“中鐵投資”，甲方)簽署了《戰略合作協議》。公司與中鐵投資通過建立戰略合作關係，充分發揮中鐵投資在行業背景、產業基礎及雪人股份在新能源技術應用等方面的優勢，雙方在新能源利用等方面展開深入合作，優勢互補，共謀發展。
業務合作內容如下：1．該協議是雙方就合作達成的初步框架性協議，該協議履行過程中雙方可根據需要針對涉及的具體問題另行簽訂項目合作協議，對雙方具體的權利義務進行明確。2．雙方共同建立信息溝通、資源共享的長效機制，在各自業務範圍內實現工程建設項目和投融資項目信息共享，並不斷在合作領域內加強相互間的技術交流和諮詢服務，以實現雙方業務領域的延伸和拓展。3．雙方充分發揮各自的業務、行業優勢以及在中鐵投資所轄區域內的屬地化經營優勢，同意互為對方在合作領域提供項目推薦機會和技術支持，在同等條件下優先選擇對方作為合作伙伴。對於中鐵投資所轄區域內基礎設施項目的市場開發，雪人股份地位優勢積累的技術實力和社會資源，攜手中鐵投資共同接洽、聯合經營。4．為促進合作順利進行，及時協調解決雙方合作中出現的新情況、新問題，切實將該協議確定的有關事項落到實處，雙方建立工作聯動制度。雙方達成具體項目的合作意向後，可根據實際需要建立相應的工作機構，共同推進項目前期工作。5．對於該戰略合作協議簽署前後，一方為合作項目披露的任何包含其非公開信息的文件或信息(包括但不限於項目信息、商業計劃、價格信息，財務信息、客户資料等)，接收該等文件或信息的一方應予嚴格保密，未經批露方書面允許，不得以任何方式披露這些文件或信息，不得為合作項目以外的目的使用或利用該等文件或信息。但根據國家法律、法規等規定應當進行的信息披露除外。該協議解除終止後，該保密條款持續有效。雙方仍需履行其所承諾的保密義務。6．該協議自甲乙雙方法定代表(負責人)或授權代表人簽字並加蓋單位公章之日起生效。
此次合作雙方通過建立戰略合作關係，充分發揮中鐵投資的行業背景、產業基礎及雪人股份在製冷、供熱、油氣服務、新能源技術應用等優勢，在城市基礎設施與產業園區冷熱能源供應系統建設、冷鏈物流、廢氣餘熱發電、氫能源等新能源領域的市場拓展等方面展開深入合作，有助於公司產品應用在上述領域的迅速擴展，對公司未來主營業務的增長將產生積極影響。同時，雙方通過資源共享，建立投融資平台，共同推進新能源與冷鏈物流領域全產業鏈佈局，為公司未來經營持續發展提供有利保證，符合公司長遠規劃，對公司未來發展產生積極影響。
