恆星科技(002132.SZ)擬引進政府引導基金並投資於恆星化學
格隆匯1月2日丨恆星科技(002132.SZ)公佈，公司(“丙方”或“轉讓方”)擬與鄂爾多斯市轉型發展投資有限責任公司發起設立的政府引導基金共同設立合夥企業，該合夥企業所取得的資金以註冊資金或股東借款的形式全部投資於公司全資子公司內蒙古恆星化學有限公司(“恆星化學”或“乙方”)。2019年12月9日，公司與鄂爾多斯市君瀚發展投資中心(有限合夥，“君瀚發展”或“甲方”)簽署了《投資合作意向協議》。
公司於2020年1月2日與君瀚發展、寧波梅山保税港區膜天君富投資管理有限公司(“君富投資”)簽訂《鄂爾多斯市君煜新材料產業投資中心(有限合夥)合夥協議》。
合夥企業名稱：鄂爾多斯市君煜新材料產業投資中心(有限合夥)(暫定名，以工商部門核准名稱為準，“君煜新材料”或“投資中心”)。
該合夥企業的投資範圍為對恆星化學進行投資。投資方式以股權投資為主(包括增資擴股、股權轉讓等)，輔以適當比例的股東借款，股東借款比例不超過基金總規模的20%。具體投資方式由本合夥企業的投資決策委員會決策確定。
君煜新材料成立後，將以2.4億元人民幣認繳恆星化學5億元出資份額中的1.25億元出資份額，另外6000萬元人民幣以股東借款的方式投向恆星化學，用於其項目建設及運營使用。
公司此次引進政府引導基金並投資於恆星化學，旨在為恆星化學及其項目建設引進資金，不涉及上市公司體外尋找或孵化早中期、初創期企業等風險投資事項，僅用於恆星化學項目建設及運營使用。此次與政府引導基金成立合夥企業是以間接的形式投資於恆星化學，投向清晰可控，不會對項目建設產生不利影響，不會對公司資金安全產生不利影響，不存在損害公司及全體股東利益的情形。此外，該投資若得以順利進行，隨着政府產業引導基金的進入，將會對公司的長遠發展產生積極影響，不僅會使恆星化學有機硅項目得到資金支持，更會為恆星化學與其他金融機構合作中提高增信，從而推動恆星化學有機硅項目的順利推進。
