長安汽車(000625.SZ)擬16.3億元轉讓長安PSA50%股權予前海鋭致
格隆匯12月31日丨長安汽車(000625.SZ)公佈，2019年11月29日，公司的合資企業長安標緻雪鐵龍汽車有限公司(“長安PSA”)在重慶聯合產權交易所公開掛牌，擬轉讓長安PSA50%股權。截至2019年12月30日，深圳前海鋭致投資有限公司(“前海鋭致”)向重慶聯合產權交易所遞交了登記材料，並繳納首期款8.313億元。
2019年12月30日，長安汽車與前海鋭致簽署了《股權轉讓協議》，將所持有的長安PSA50%股權全部轉讓給前海鋭致，轉讓金額為16.3億元。此次股權轉讓完成後，長安汽車不再持有長安PSA的股權。
長安標緻雪鐵龍汽車有限公司經營範圍：(1)研發、生產汽車(乘用車和商用車)及其相關發動機、變速箱、零部件、工具、維修配件；(2)銷售上述汽車及其相關發動機、變速箱、零部件、工具、維修配件；提供相關售後服務,與該等售後業務相關的培訓業務；(3)從事汽車零部件、發動機、動力系統、工具和維修配件、附件的批發、進出口及相關配套業務；從事衍生品和帶品牌LOGO的促銷品的批發、進出口及相關配套業務(不涉及國營貿易管理商品,涉及配額、許可證管理及其他專項規定管理的商品,按國家有關規定辦理申請)；(4)從事進口DS品牌汽車的營銷管理服務,包括售後服務、品牌推廣、產品宣傳、客户關係管理等；(5)汽車銷售。
此次交易符合公司實際經營及未來發展需要，優化公司資產結構，符合公司戰略轉型方向。此次股權轉讓事項生效還需股東大會審議批准，並取得國家及地方有關部門批准，履行工商變更手續。此次交易的轉讓價格為16.3億元，2019年11月30日出售股權的賬面價值約為2.78億元，預計此次出售股權事項對合並報表產生的影響為增加税前利潤13.52億元。根據目前項目進展情況，此次出售股權事項預計在2020年完成，此次交易產生的利潤將計入交易完成的會計期間，具體影響以公司年審審計師的審計結果為準。
交易對方深圳前海鋭致投資有限公司資信狀況良好，目前已支付標的股權轉讓款的51%，即8.313億元，對剩餘49%的價款及利息的支付提供股權轉讓協議約定的保證或/和擔保，違約風險較小。
