嘉欣絲綢(002404.SZ)股東凱喜雅國際擬轉讓16.01%股份予凱喜雅投資
格隆匯12月31日丨嘉欣絲綢(002404.SZ)公佈，2019年12月30日，公司持股5%以上股東浙江凱喜雅國際股份有限公司(“凱喜雅國際”)與其全資子公司浙江凱喜雅投資有限公司(“凱喜雅投資”)簽署《關於浙江凱喜雅投資有限公司的增資協議》(“《增資協議》”)，凱喜雅國際擬以其持有公司約9249.01萬股無限售流通股(佔公司總股本的16.01%)以非貨幣出資方式作價出資協議轉讓予凱喜雅投資。
此次權益變動後，凱喜雅投資將持有公司約9249.01萬股股份(佔公司總股本的16.01%)，凱喜雅國際不再直接持股公司股份，但通過凱喜雅投資間接持有公司相應股份權益。
凱喜雅國際決定以其持有的米賽公司60%股權(對應米賽公司人民幣720萬元註冊資本)、上市公司16.01%股份(對應上市公司約9249.01萬股股份)作價出資認繳凱喜雅投資新增註冊資本人民幣5.5億元。
基於坤元資產評估有限公司出具的《浙江凱喜雅國際股份有限公司擬轉讓股權涉及的浙江米賽絲綢有限公司股東全部權益價值評估項目資產評估報告》（坤元評報[2019]657號)關於米賽公司60%股權評估價值、《浙江凱喜雅國際股份有限公司擬轉讓單項資產價值評估項目資產評估報告》(坤元評報[2019]663號)關於上市公司16.01%股份評估價值，並結合《增資協議》簽署日的前一個交易日上市公司股份的二級市場收盤價，凱喜雅國際以米賽公司60%股權作價人民幣9948.9209萬元、上市公司16.01%股份作價人民幣約5.49億元，合計作價人民幣約6.49億元認繳凱喜雅投資新增註冊資本人民幣5.5億元，其中人民幣5.5億元作為新增註冊資本，人民幣9888.0231萬元計入資本公積。
此次增資中，凱喜雅國際用於向凱喜雅投資出資的上市公司16.01%股份的轉讓作價人民幣約5.49億元，系以《增資協議》簽署日的前一個交易日(2019年12月27日)上市公司股份的二級市場收盤價(6.60元/股)的90%，即每股人民幣5.94元，乘以凱喜雅國際持有的上市公司約9249.01萬股股份確定，轉讓價格符合深交所關於上市公司股份協議轉讓的相關規定。
