思美傳媒(002712.SZ)終止股票期權激勵計劃
格隆匯12月31日丨思美傳媒(002712.SZ)公佈，公司於2019年12月30日召開第四屆董事會第三十二次會議、第四屆監事會第十九次會議，審議通過了《關於終止股票期權激勵計劃的議案》。
公司於2019年10月14日召開第四屆董事會第二十六次會議、第四屆監事會第十六次會議，審議通過了《思美傳媒股份有限公司2019年股票期權激勵計劃(草案)及其摘要》《思美傳媒股份有限公司股票期權激勵計劃實施考核管理辦法》等相關議案。
期間因公司控制權發生變更，此次股票期權激勵計劃尚需獲得四川省政府國有資產監督管理委員會的批覆。截至公告披露日，公司股票期權激勵計劃尚未獲得四川省政府國有資產監督管理委員會的批覆，尚未提交公司股東大會審議。
鑑於制定此次激勵計劃的背景發生較大變化，繼續推行此次激勵計劃難以達到預期的目的與效果。為保護公司及廣大投資者的合法權益，結合公司未來發展規劃，公司董事會經審慎論證後決定終止此次激勵計劃，與之相關的《2019年股票期權激勵計劃(草案)》《2019年股票期權激勵計劃(草案)摘要》《股票期權激勵計劃實施考核管理辦法》等配套文件一併終止。
公司終止股票期權激勵計劃不違反《公司法》《證券法》《上市公司股權激勵管理辦法》等有關法律、法規、規範性文件的規定。根據《上市公司股權激勵管理辦法》相關規定，公司董事會承諾自此次終止股票期權激勵計劃的董事會決議公告之日起3個月內，不再審議股權激勵計劃，相關法律法規變動除外。此次激勵計劃終止實施後，公司將繼續通過優化薪酬體系、完善績效考核制度等方式來充分調動公司管理層和業務骨幹的積極性。公司將結合相關法律法規和自身實際，繼續研究推出有效的激勵方式，以促進公司的長期持續、健康發展。
由於股票期權激勵計劃尚未通過股東大會審議，公司尚未完成權益授出，不會對公司的財務狀況產生影響，不存在損害公司及全體股東利益的情形。
