牧原股份(002714.SZ)擬與央企投資基金共設合資公司並向3家子公司增資
格隆匯12月30日丨牧原股份(002714.SZ)公佈，公司於2019年12月29日召開第三屆董事會第二十一次會議，審議通過了《關於與中央企業貧困地區產業投資基金股份有限公司簽署投資協議暨設立合資公司的議案》、《關於控股子公司南陽市牧原生豬供應保障有限公司使用自有資金向公司全資子公司增資的議案》，同意公司與國投創益管理的中央企業貧困地區產業投資基金股份有限公司(“央企投資基金”或“甲方”)簽署《投資協議書》，協議約定共同投資設立一家有限責任公司，公司名稱暫定為“南陽市牧原生豬供應保障有限公司”(最終以主管工商行政機關核准名稱為準)，同意南陽市牧原生豬供應保障有限公司設立後，對牧原股份的全資子公司進行增資。
各方一致同意按該協議約定共同投資設立一家有限責任公司。公司名稱暫定為“南陽市牧原生豬供應保障有限公司”(最終以主管工商行政機關核准名稱為準)。經營範圍：生豬、種豬養殖及銷售；飼料加工、銷售；養殖技術的服務推廣；糧食購銷；豬糞處理(以工商行政主管部門核准經營範圍為準)。
為促進子公司的生產經營建設，南陽市牧原生豬供應保障有限公司設立後，擬使用自有資金對牧原股份的全資子公司黑龍江甘南牧原農牧有限公司(“甘南牧原”)、黑龍江明水牧原農牧有限公司(“明水牧原”)、黑龍江富裕牧原農牧有限公司(“富裕牧原”)進行增資，具體增資情況如下：
此次增資前，牧原股份直接持有甘南牧原100%股權。此次增資後，牧原股份直接持有甘南牧原4.76%股權，通過南陽市牧原生豬供應保障有限公司間接持有甘南牧原68.03%股權，總計持有甘南牧原72.79%股權；央企投資基金通過南陽市牧原生豬供應保障有限公司間接持有甘南牧原27.21%股權；甘南牧原仍為牧原股份控股子公司。
此次增資前，牧原股份直接持有明水牧原 100%股權。此次增資後，牧原股份直接持有明水牧原20.00%股權，通過南陽市牧原生豬供應保障有限公司間接持有明水牧原57.14%股權，總計持有明水牧原77.14%股權；央企投資基金通過南陽市牧原生豬供應保障有限公司間接持有明水牧原22.86%股權；明水牧原仍為牧原股份控股子公司。
此次增資前，牧原股份直接持有富裕牧原 100%股權。此次增資後，牧原股份直接持有富裕牧原31.06%股權，通過南陽市牧原生豬供應保障有限公司間接持有富裕牧原49.24%股權，總計持有富裕牧原80.30%股權；央企投資基金通過南陽市牧原生豬供應保障有限公司間接持有富裕牧原19.70%股權；富裕牧原仍為牧原股份控股子公司。
此次簽訂投資協議、設立合資公司，有利於公司擴大生豬養殖規模一體化飼養模式，進一步增強公司的綜合競爭力和盈利能力，提高公司產品市場佔有率，獲取規模經濟效益，實現全體股東的利益最大化，符合公司和全體股東的利益，不存在損害股東利益的情形。
合資公司設立後對公司子公司增資有利於公司子公司的經營發展，提升競爭力和生產經營規模。增資完成後，甘南牧原、明水牧原、富裕牧原為公司控股子公司，不會導致公司合併報表範圍發生變化，也不會對公司的財務及經營狀況產生不利影響。
