濱海能源(000695.SZ)：新華印務擬引進戰投盛通股份進行增資擴股 公司放棄相關優先認繳出資權
格隆匯12月30日丨濱海能源(000695.SZ)公佈，天津新華印務有限公司(“新華印務”)系公司控股子公司，註冊資本2800萬元人民幣，公司持有新華印務51%的股權，天津新華二印刷有限公司(“新華二印”)持有24.5%股權，天津金彩美術印刷有限公司(“金彩美術”)持有24.5%股權。
基於戰略發展需要，新華印務擬引進北京盛通印刷股份有限公司(“盛通股份”)作為戰略投資者進行增資擴股，公司及新華二印、金彩美術將放棄上述增資擴股的優先認繳出資權。
截至2019年11月30日，新華印務經審計的資產總額為4029.50萬元；負債總額為1143.22萬元；淨資產為2886.28萬元。
根據具有證券期貨資格的天津中聯資產評估有限責任公司出具的中聯評報字[2019]A-0095號《評估報告》，截止評估基準日(2019年11月30日)，新華印務經評估的淨資產價格為2886.42萬元。
盛通股份將以貨幣資金和固定資產兩種方式進行增資，其中貨幣增資1933.32萬元，根據天津中聯資產評估有限責任公司以2019年11月30日為基準日出具的中聯評報字[2019]A-0094號《評估報告》，盛通股份增資設備經評估的資產價格為839.91萬元，合計增資2773.23萬元，其中2690.20萬元計入註冊資本，83.03萬元計入新華印務資本公積。
此次增資擴股後，新華印務註冊資本由2,800萬元增加至5,490.20萬元。盛通股份取得新華印務增資後49%的股權，公司持有新華印務股權的比例將從51%下降至26.01%。公司將通過與新華二印和金彩美術簽訂表決權委託協議，確保公司仍為新華印務控股股東，新華印務仍將仍納入公司合併報表範圍。
天津新華印務有限公司經營範圍：書、報刊印刷;包裝裝潢印刷品印刷;其他印刷品印刷;廣告業務;普通貨運;紙製品加工、銷售;製版;工藝美術品包裝設計;從事國家法律法規允許的進出口業務。(依法須經批准的項目,經相關部門批准後方可開展經營活動)
