立昂技術(300603.SZ)擬891萬元收購新疆九安36%股份
格隆匯12月30日丨立昂技術(300603.SZ)公佈，公司為進一步提升核心競爭力，深耕智慧交通、智慧城市等領域，於近日與新疆九安智慧科技股份有限公司(“新疆九安”或“交易標的”)股東重慶九鈺智慧科技有限公司(“重慶九鈺”)簽署了《新疆九安智慧科技股份有限公司股份轉讓協議》(“股份轉讓協議”)，公司以自有資金891萬元購買重慶九鈺所持新疆九安36%的股份，並履行重慶九鈺前期未繳註冊資金540萬元的實繳義務，同時重慶九鈺就新疆九安股東大會、董事會所議事項時均與立昂技術保持一致行動。
新疆九安智慧科技股份有限公司經營範圍：智慧城市傢俱系統及產品的銷售、安裝和應用；銷售照明燈具及配套的電子電器產品；安防產品的銷售、安裝及維護；數據採集系統的設計、銷售及服務；辦公自動化設備的銷售；照明燈具及控制系統的研發；智慧城市傢俱系統及產品的研發、設計；安全技術防範工程設計、施工、維修；計算機軟件開發；計算機系統服務；專業技術諮詢服務；信息系統集成及服務；照明設計；照明工程；園林景觀設計；園林景觀工程的建設及綠化和養護；貨物或技術進出口(國家禁止或涉及行政審批單貨物和技術進出口除外);日用百貨、飲料、預包裝食品兼散裝食品的批發、銷售；國內廣告設計、製作、代理、發佈；場地租賃；經營租賃服務及其他現代服務。(涉及許可經營項目，應取得相關部門許可後方可經營)
重慶九鈺合計持有新疆九安1320萬股股份，佔新疆九安註冊資本的44%。立昂技術以自有資金891萬元受讓1080萬股，佔新疆九安註冊資本的36%。股份轉讓後，立昂技術需按新疆九安股東大會決議或《公司章程》的規定繳納期限向新疆九安履行540萬元的實繳出資義務。
此次股份轉讓後，重慶九鈺持有新疆九安240萬股股份，佔新疆九安註冊資本的8%，立昂技術持有新疆九安1080萬股股份，佔新疆九安註冊資本的36%，為新疆九安最大單一股東。
受益於國家戰略的佈局，萬億規模的智慧交通乃至智慧城市的佈局已逐步展開，立昂技術專注研發基於雲計算和物聯網的公共建築能耗監測系統及技術，以技術創新為推動，以智慧城市類項目為方向，深耕智慧交通、智慧城市等領域。此次受讓新疆九安的股份，有利於公司搶佔市場高地，整合疆內智慧城市上下游產業鏈，共同推進智能交通和邊緣計算領域的解決方案落地實施，做大生態圈。此次收購將對公司本年度財務狀況產生積極影響。不存在損害上市公司及股東合法利益的情形。
