中集集團(02039.HK)子公司受讓前海若干土地使用權 料增加集團税後淨利約66.9億元

格隆匯12月30日丨中集集團(02039.HK)公告,公司全資子公司南方中集曾於2017年10月9日,與原深圳規土委、前海管理局以尊重歷史、服從規劃、擱置爭議、利益共用、雙贏發展為原則,經友好協商,就位於深圳前海的T102-0152、T102-0153、T102-0154宗地土地整備問題簽署了《土地整備框架協議書》。

2019年2月19日,為進一步的補充説明《土地整備框架協議書》的相關約定,南方中集與前海管理局簽訂深地合字(2006)0193號《深圳市土地使用權出讓合同書》第四補充協議書,同時解除T102-0152宗地原合同並終止履行原合同約定的權利、義務;2019年2月27日,前海管理局與公司指定的公司全資子公司前海集城實業發展(深圳)有限公司及前海集雲分別就一期土地(部份用地位於T102-0152宗地範圍)中的T102-0289號地塊、T102-0290號地塊分別與前海管理局簽訂深前海地合字(2018)0010號《深圳市土地使用權出讓合同書》、深前海地合字(2019)0001號《深圳市土地使用權出讓合同書》。

於2019年12月27日,前海管理局與公司全資子公司前海集雲、前海精集、前海英集、前海創集、前海盛集、前海世集就宗地號T102-0342(09-02-01與09-02-10號地塊)、宗地號T102-0330(09-05-01號地塊)、宗地號T102-0331(09-05-02號地塊)、宗地號T102-0332(09-05-03與09-05-04地塊)、宗地號T102-0333(09-05-06號地塊)、宗地號T102-0334(09-05-07號地塊)、宗地號T102-0335(09-05-08號地塊)簽訂《出讓合同》。

集團認為,簽署《出讓合同》有助於加快前海蛇口自貿區的開發建設,也有利於集團把握深圳城市發展和更新改造的機遇,提升本集團現有資源的整體效益和股東回報,符合集團及股東的整體利益。基於目前的初步測算,本次交易預計將增加本集團税後淨利潤約人民幣66.9億元,具體以本集團審計師的審計結果為準。
