天泽信息(300209.SZ)拟转让控股子公司海平面15%股权
格隆汇12月30日丨天泽信息(300209.SZ)公布，为保障公司投资收益、优化公司投资结构、进一步提高上市公司的资产质量和盈利能力，鉴于控股子公司江苏海平面数据科技有限公司(公司持股55%，“海平面”或“目标公司”)现阶段需要持续加大市场和研发投入，吸引更多的优秀人才，同时为表明海平面经营层发展信心，天泽信息计划将持有的海平面10%的股权以115万元溢价出售给海平面的法定代表人、董事、总经理沈祥红(“受让方1”)，将持有的海平面5%的股权以57.5万元溢价出售给海平面董事、副总理孙杰(“受让方2”)。此次股权转让完成后，公司将持有海平面40%的股权，鉴于公司派出的董事占海平面董事会席位多数，并实际控制董事会经营决策权，海平面仍为公司的控股子公司。
海平面是一家定位于工业级设备联网应用场景的技术型公司，其主要产品面向5G时代的工业场景下的数据中台产品，以解决多媒体数据的处理和并发大流量的工业设备的数据处理。海平面于2017年1月成立至今，通过近三年的积累和投入，前期产品已经基本开发完成，应用于电力网、工业物联网、智慧港口、智慧供热、北理大数据联盟等市场前景广阔的行业领域。
鉴于目标公司尚处于亏损状态、未来业务拓展需要加大投入，为保障公司投资收益、优化公司投资结构，进一步提高上市公司的资产质量和盈利能力，充分维护天泽信息作为投资方的合法权益，同时为表明目标公司经营层的发展信心，并为目标公司未来努力争取进入资本市场做好股权结构多元化的准备，增强其发展后劲，经各方友好协商，受让方同意按照协议约定的条件及对价购买公司所持有的海平面部分股权。
此次交易符合上市公司整体发展战略规划，有助于进一步提高公司对外投资质量，保障公司获得稳定的投资收益。此次交易不会对公司当期及未来的财务状况和经营成果产生重大影响，亦不会对公司现有业务的正常开展造成影响。此次股权转让完成后，公司将持有海平面40%的股权，鉴于公司派出的董事占海平面董事会席位多数，并实际控制董事会经营决策权，海平面仍为公司的控股子公司。
同时，公司对受让方的财务状况和资信情况进行了考察，认为受让方有相应的支付及偿还能力，并且受让方同意提供相应的担保措施，因此公司无法收回该等款项的风险较低。
