晨鳴紙業(000488.SZ)子公司壽光美倫擬引進晨融基金進行增資擴股 增資額4.5億元
格隆匯12月30日丨晨鳴紙業(000488.SZ)公佈，2019年12月11日，晨鳴資管、山東哲民貿易有限公司(“哲民貿易”)與晨鳴新舊動能轉換基金共同合作設立了濰坊晨融新舊動能轉換股權投資基金合夥企業(有限合夥)(“晨融基金”)。全體合夥人認繳出資總額為人民幣4.5億元，均以貨幣方式出資。其中晨鳴資管作為普通合夥人出資人民幣100萬元，佔比0.22%；哲民貿易作為有限合夥人出資人民幣2.49億元，佔比55.33%；晨鳴新舊動能轉換基金作為有限合夥人出資人民幣2億元，佔比44.45%。晨融基金目前已經完成工商註冊登記手續，並取得了營業執照。
為積極穩妥地降低公司資產負債率，優化資本結構，增強公司整體資本實力和競爭力，公司全資子公司壽光美倫紙業有限責任公司(“壽光美倫”)引進晨融基金進行增資擴股，增資金額為人民幣4.5億元(其中2.61億元計入註冊資本，1.89億元計入資本公積)。基於壽光美倫經營狀況及公司整體戰略發展的考慮，公司放棄此次增資中的優先認繳出資權。
晨鳴新舊動能轉換基金是公司持股 79%的控股企業，晨鳴資管為我公司持股20%的參股公司，除此之外，晨融基金與公司及控股股東、實際控制人之間不存在產權、業務、資產、債權債務、人員方面的關聯關係，不存在可能或已經造成上市公司對其利益傾斜的其他關係。
壽光美倫紙業有限責任公司經營範圍：生產、銷售：銅版紙、紙板、紙製品、造紙原料、造紙機械；銷售：纖維飼料、胚芽、蛋白粉、造紙助劑、化工產品(不含危險化學品和易製毒化學品)、電力、熱力、煤炭、石膏、造紙機械配件；造紙技術研發諮詢服務；經營國家允許範圍內的貨物、技術進出口業務(依法須經批准的項目，經相關部門批准後方可開展經營活動)
此次交易事項有利於促進壽光美倫的未來發展，同時也可以積極穩妥地降低公司資產負債率，優化資本結構，增強公司整體資本實力和競爭力。此次交易完成後，壽光美倫仍為公司的控股子公司。此次交易不會導致公司失去對壽光美倫的控制權，對公司財務狀況及經營成果無重大影響。
