紫金礦業(02899.HK)選舉陳景河為董事長及擬向建設銀行申請不超158億元貸款
格隆匯12月30日丨紫金礦業(02899.HK)發佈公告，於2019年12月30日，公司董事會會議審議通過《關於選舉公司第七屆董事會董事長、副董事長的議案》，會議選舉陳景河先生為公司第七屆董事會董事長，選舉藍福生先生為公司第七屆董事會副董事長；審議通過《關於聘任公司總裁、董事會祕書的議案》，根據董事長陳景河先生的提名，聘任鄒來昌先生為公司總裁，聘任鄭友誠先生為公司董事會祕書；審議通過《關於聘任公司副總裁、財務總監、總工程師的議案》，根據總裁鄒來昌先生的提名，聘任林泓富先生為公司常務副總裁，聘任林紅英女士、謝雄輝先生、沈紹陽先生、龍翼先生、闕朝陽先生為公司副總裁，聘任吳紅輝先生為公司財務總監，聘任蔣開喜先生為公司總工程師。
審議通過《關於開展2020年度理財業務的議案》，為規範公司理財業務的辦理,提高暫時閒置資金的收益，在保證日常經營需求的前提下，同意公司2020年度利用閒置資金購買銀行理財產品，理財單日餘額最高不超過人民幣25億元，理財產品以保本型為主，理財期限原則上不超過6個月，授權期限為2020年1月1日至2020年12月31日。
審議通過《關於向銀行申請融資融信業務的議案》，鑑於部分銀行融資融信業務授權於2019年底到期，董事會同意繼續向下述銀行申請辦理融資融信業務，具體為：向中國建設銀行股份有限公司申請辦理融資融信業務，總額度不超過人民幣（或等值外幣）158億元，期限兩年；向交通銀行股份有限公司申請辦理融資融信業務，總額度不超過人民幣（或等值外幣）80億元，期限兩年；向民生銀行股份有限公司申請辦理融資融信業務，總額度不超過人民幣（或等值外幣）100億元，期限兩年；向興業銀行股份有限公司申請辦理融資融信業務，總額度不超過人民幣（或等值外幣）100億元，期限兩年；向中信銀行股份有限公司申請辦理融資融信業務，總額度不超過人民幣（或等值外幣）125億元，期限兩年；向國家開發銀行股份有限公司福建省分行申請辦理融資融信業務，總額度不超過人民幣（或等值外幣）100億元，期限兩年；向平安銀行股份有限公司申請辦理融資融信業務，總額度不超過人民幣（或等值外幣）30億元，期限兩年；向招商銀行股份有限公司申請辦理融資融信業務，總額度不超過人民幣（或等值外幣）42億元，期限兩年；向中國郵政儲蓄銀行股份有限公司申請辦理融資融信業務，總額度不超過人民幣（或等值外幣）80億元，期限兩年；向渣打銀行（中國）有限公司申請辦理融資融信業務，總額度不超過美元4.2億元，期限兩年。授權公司分管領導代表公司全權辦理該項融資融信業務。
