鞍鋼股份(000898.SZ)擬斥5460萬元與鞍山鋼鐵共設德鄰智聯
格隆匯12月30日丨鞍鋼股份(000898.SZ)公佈，為加快推進公司現代互聯經濟新業態發展，充分發揮“互聯網+實體”協同效應，發展公司電子商務，促進電子商務與採購、銷售、物流、金融等緊密融合，建設陽光、降本、安全、高效、靈活的一體化運營平台，經與鞍山鋼鐵集團有限公司(“鞍山鋼鐵”)進行磋商，雙方擬合資設立德鄰智聯(鞍山)有限公司(“德鄰智聯”)[名稱最終以工商登記機關核定名稱為準]。2019年12月30日，公司與鞍山鋼鐵在遼寧省鞍山市簽署了《鞍鋼股份有限公司與鞍山鋼鐵集團有限公司合資合同》。
德鄰智聯註冊資本為人民幣6000萬元，由公司與鞍山鋼鐵以貨幣方式出資,其中公司出資人民幣5460萬元，佔註冊資本的91%；鞍山鋼鐵出資人民幣540萬元，佔註冊資本的9%。此次交易對方鞍山鋼鐵是公司的控股股東。因此，鞍山鋼鐵與公司構成關聯關係，此項交易構成關聯交易。
發展鋼鐵電商平台是鋼鐵產業鏈的業態創新。近年來，國內鋼鐵電商發展迅猛。但鋼鐵電商的發展受制於上游鋼廠和物流渠道的發展，呈現出較強的地域性特點。從國內鋼鐵電商的區位分佈來看，目前主要的幾大電商包括上海鋼聯下屬鋼銀電商、寶武集團下屬歐冶雲商、找鋼網和鋼鋼網等都集中在上海地區，業務覆蓋範圍也以華東、華南地區為主，輔以中部、華北等地區，東北地區競爭尚處於起步階段。
德鄰智聯的設立定位於為公司對內供應鏈管理提質降本增效的實施載體和對外經營創效的運營實體，致力於以服務客户為導向，深入挖掘鋼鐵生態圈溢出效應，合理撬動、高效利用社會公共資源，通過逐步拓展新業務、培育新業態，打造東北地區最具影響力的集交易、金融、數據、技術、諮詢等服務於一體的線上線下融合型、開放式生態服務體系，以及物流、商流、信息流和資金流“四流合一”的智慧供應鏈產業服務平台。
德鄰智聯未來將以電子商務平台為依託，通過打造獨立市場經營主體，完善現代企業制度，提升電子商務平台的經營創效能力與市場競爭力。公司通過大力發展電子商務，利用電子商務平台的開放性特點，拓展國內外市場，擴大服務範圍、增加小微客户佔比，增加客户黏度，增強滿足用户需求的能力，從而提升公司整體的競爭力，使公司向鋼鐵產業鏈綜合運營商轉型。
德鄰智聯將成為公司走向開放的橋頭堡，在做大做強鋼鐵流通和服務的業務中，佔據鋼鐵產業鏈整合的地利優勢，可以為公司在鋼鐵行業層面的整合打下堅實的基礎，必將極大鞏固公司的產業鏈地位。
公司通過與鞍山鋼鐵合資設立德鄰智聯，一是可以通過大力發展公司電子商務，促進電子商務與採購、銷售、物流、金融等緊密融合，提升公司整體的競爭力，使公司向鋼鐵產業鏈綜合運營商轉型；二是通過與鞍山鋼鐵的深入合作，未來將以電子商務平台為依託，以鋼鐵流通電商化帶來的鋼材交易從線下向線上的遷移作為抓手，同時帶動上游鐵礦石等原材料採購、下游流通加工等相關業務，從而使公司電子商務平台做大做強；三是把握鋼鐵產業鏈整合的機遇，為公司在鋼鐵行業層面的整合打下堅實的基礎，鞏固公司的產業鏈地位。
德鄰智聯成立後，將成為公司的控股子公司，納入公司的合併報表範圍。
