中山金馬(300756.SZ)與廣弘集團及天弘國富簽署戰略合作方案
格隆匯12月30日丨中山金馬(300756.SZ)公佈，公司於2019年12月28日與中山市廣弘集團有限公司(“廣弘集團”)及廣東天弘國富股權投資基金管理有限公司(“天弘國富”)簽署了《戰略合作方案》，為充分發揮各方在項目、政企關係、資質、資金等方面的資源優勢，實現優勢互補、合作共贏，三方經友好協商，擬就“文化旅遊產業園區建設等相關項目”開展全面的戰略合作，達成《戰略合作方案》。
戰略合作原則：(1)資源整合：三方致力於項目資源整合、政企關係整合、資質優勢整合、資金資源整合等全方位合作。(2)優勢互補：三方優勢互補、強強聯手，共同參與項目的合作條件談判、招投標流程、設立項目公司、資金的投入與退出、項目貸款的申請與歸還、項目公司的運營。(3)風險共擔、利益共享：雙方以合作共贏為基本原則，風險共擔，利益共享，項目收益最大化。
戰略合作定位：（1)項目定位：文化旅遊產業園區建設等。存量項目和新增項目均可展開合作。(2)區域定位：以廣東省內的各市縣為主，面向全國，主要根據當地消費水平、消費結構、消費意向、政策支持等指標為基礎准入判斷，以項目的具體合作條件為決策依據。(3)模式定位：1)三方合作設立專項合作產業併購基金；2)三方或三方與其他戰略合作伙伴共同組件聯合體，參與新項目的全流程運作。
合作推進計劃：(1)三方成立中山市金弘文旅產業投資合夥企業(有限合夥)(暫定名)，基金規模待定，出資按照實際投資項目進度需要分筆同比例到位，三方共同完成首期資金募集，進行基金備案，提高後期項目推進的時效性。(2)三方充分溝通存量項目以及儲備項目，優化選擇可行性高、資源匹配度高的1-2個項目設定為合作示範項目，專人負責對接和推進。(3)就示範項目設計合作模式，明確三方權利與義務。(4)制定清晰的項目推進計劃表，並按計劃各負其責，全力推進項目落地。(5)總結合作經驗，優化合作模式，擴大合作範圍。
此次合作符合公司未來長遠戰略發展規劃，通過此次合作，有效利用並整合協議各方資源優勢，進一步拓展公司業務領域，加快產業佈局，提升公司綜合競爭力、企業品牌影響力和可持續發展能力。
