樂惠國際(603076.SH)同意全資子公司Finnah Packtec GmbH破產清算
格隆匯12月29日丨樂惠國際(603076.SH)公佈，2019年12月27日，公司召開了第二屆董事會第八次會議，以通訊表決方式審議通過了《關於全資子公司Finnah Packtec GmbH申請破產清算的議案》，同意德國子公司Finnah Packtec GmbH(“德國芬納赫”)作為債務人向法院申請破產清算。
2017年12月8日公司第一屆董事會第十五次會議審議通過了收購德國芬納赫的議案，公司以400萬歐元的價格收購了德國芬納赫並於2018年3月完成交割，自此，德國芬納赫成為公司旗下的全資子公司。2018年8月10日，公司第一屆董事會第二十二次會議審議通過了向德國芬納赫增資550萬歐元議案，德國芬納赫的註冊資本變更為600萬歐元。
收購德國芬納赫之後，公司進行了包括加強德國芬納赫的銷售力量和規模、委派中國銷售和技術人員協助德國芬納赫、通過加強乳品包裝的中國銷售和協同生產製造來降低德國芬納赫的生產成本、與工會積極溝通調整組織架構、加強銷售力量、提升管理效率等一系列開源節流的措施，但由於德國芬納赫及其員工受歷史因素影響，效果甚微。其自身的財務狀況難以繼續開展日常經營業務，且連年虧損，經營扭虧困難。
按照中國會計準則，截止2019年9月30日(未經審計)，德國芬納赫資產總額為11794.65萬元人民幣；負債總額為11837.07萬元人民幣；淨資產為-42.42萬元人民幣，資產不足以清償全部債務，無法繼續開展經營。按照德國會計準則(未經審計)，截止2019年9月30日(未經審計)德國芬納赫的淨資產為-123.6982萬歐元，根據德國相關法律的規定，已達到破產的條件和標準。
基於德國芬納赫目前的訴訟和實際經營情況，啟動破產清算程序，德國芬納赫作為被告的訴訟或仲裁程序將中止，由破產管理人接管並公平處理其債權債務，保護公司和公司股東的合法權益。
