界龍實業(600836.SH)：浙發易連已書面承諾將於2020年1月15日前支付第一期股權轉讓款
格隆匯12月29日丨界龍實業(600836.SH)公佈，公司於2019年12月16日、12月18日分別發佈《關於第一大股東簽訂控制權變更相關協議的公告》及《關於第一大股東簽訂控制權變更相關協議的補充公告》，上海界龍集團有限公司(“界龍集團”)同意將其所持有的公司約1.8047億股股份(佔公司股本總額的27.23%)轉讓給麗水浙發易連商務管理合夥企業(有限合夥)(“浙發易連”)。此次交易共涉及交易對價14億元。
根據《股份轉讓協議》，第一期標的股份轉讓款的金額、支付先決條件如下：“第一期標的股份轉讓價款金額合計為5.5億元。受讓方應於下列先決條件全部滿足之日起當日或次一個工作日將第一期標的股份轉讓價款全額支付至共管賬户：(1)股份轉讓協議已簽署；(2)甲方已取得質權人相關部門對標的股份所質押擔保的借款本金及利息和質權人收取的其他費用(如有)(以下合稱“質押貸款”)金額、標的股份質押貸款對應的有效借款協議約定的還款賬户或質權人指定的質押貸款的還款銀行賬户和同意於其收到質押貸款的清償款項當日辦理解除質押手續的有效書面確認文件(“《質權人確認函》”)並已將該《質權人確認函》原件提交給受讓方(甲方應在取得該文件之日起3個工作日內提供給受讓方)。”
截至2019年12月18日，雙方已簽署《股份轉讓協議》，且質權人海通證券股份有限公司已出具《質權人確認函》。《股份轉讓協議》項下第一期標的股份轉讓價款的先決條件已經達成。
經公司向界龍集團詢問交易進展情況，浙發易連尚未按照《股份轉讓協議》的約定向界龍集團足額支付第一期標的股份轉讓價款。截至公告披露之日，界龍集團已收到8600萬元。浙發易連已書面承諾將於2020年1月15日前完成第一期股權轉讓款的支付。界龍集團將按照《股份轉讓協議》有關約定，督促浙發易連及時履行付款及其他義務。
