*ST鹽湖(000792.SZ)：管理人與匯信資產管理簽訂資產收購框架協議
格隆匯12月27日丨*ST鹽湖(000792.SZ)公佈，2019年9月30日，青海省西寧市中級人民法院(“西寧中院”或“法院”)裁定受理公司破產重整一案，並於同日指定青海鹽湖工業股份有限公司清算組擔任鹽湖股份管理人。2019年11月6日，鹽湖股份重整案第一次債權人會議召開，會議表決通過了《青海鹽湖工業股份有限公司重整案財產管理及變價方案》。根據該方案，公司管理人將以鹽湖股份重整程序中評估機構出具的專項評估報告所確認的評估價值為處置參考，依法將鹽湖股份化工分公司的固定資產、在建工程、無形資產、存貨及所持對控股子公司青海鹽湖鎂業有限公司(“鹽湖鎂業”)、青海鹽湖海納化工有限公司(“海納化工”)的全部股權、應收債權(上述三項資產合稱“鹽湖股份資產包”)進行公開處置。
管理人已於2019年12月23日發佈了第五次公開拍賣公告，將於2019年12月31日9時至2020年1月1日9時在淘寶網司法拍賣網絡平台上對鹽湖股份資產包進行第五次公開拍賣活動
2019年12月27日，公司管理人與青海匯信資產管理有限責任公司(“匯信資產管理”)簽訂《資產收購框架協議》，協議主要條款如下：
1、乙方(即青海匯信資產管理有限責任公司)承諾：如甲方(即管理人)後續繼續採取公開拍賣或協議轉讓的方式處置鹽湖股份資產包，且無其他主體願意以超過人民幣(下同)30億元的價格通過參與第六次拍賣或者協議受讓方式受讓鹽湖股份資產包的，乙方將以30億元的價格受讓鹽湖股份資產包，受讓方式包括參與第六次拍賣或直接協議受讓前述資產。該承諾不可撤銷，乙方屆時將無條件按照本協議履行。
2、雙方同意，為兜底收購鹽湖股份資產包之目的，乙方應支付收購保證金3億元整至甲方指定的銀行賬户。
3、乙方成為鹽湖股份資產包最終買受人的，前述保證金(不計息)自動轉變為乙方應付的資產買受價款的一部分。因非屬於乙方責任致使其他主體成為鹽湖股份資產包買受人的，甲方應當向乙方退還保證金，但不計息。
4、本協議自雙方蓋章之日起生效。
5、本協議簽署後，除不可抗力因素外，任一方如未能履行其在本協議項下之義務或承諾或所作出的陳述或保證失實或嚴重有誤，則該方應被視作違約。
6、出現下述情形的，甲方將不予退還乙方已經支付的保證金：(1)乙方違反本協議下之承諾，未參與公開拍賣或拒絕與甲方簽署正式的資產收購協議的；(2)乙方遲延支付資產收購價款超過十五日的。
