遊族網絡(002174.SZ)擬放棄掌淘科技優先受讓權及同比例增資權
格隆匯12月27日丨遊族網絡(002174.SZ)公佈，公司現持有參股公司廣州掌淘網絡科技有限公司(“掌淘科技”、“掌淘”)37.33%的股權，公司董事陳禮標持有掌淘科技52.67%的股權，同時陳禮標為掌淘科技的法定代表人，對掌淘科技擁有控制權；掌淘科技構成公司關聯方。
掌淘科技將獲得新增資方宿遷京東聚數投資合夥企業(有限合夥)(“京東聚數”)、中小企業發展基金(深圳有限合夥)(“中小基金”)、自然人李永良的增資，增資總額為不超過9023.5萬元，其中99533元計入註冊資本，其餘計入資本公積。此次增資中，公司擬放棄對掌淘科技的同比例增資權，對應放棄同比例增資權所涉關聯交易金額不超過約5374.94萬元。
掌淘科技股東陳禮標擬將此次交易前其持有的6%股權轉讓給上海贊椿數字科技合夥企業(有限合夥)(暫定名，具體以工商審核結果為準，“上海贊椿”)，對應註冊資本99274元。此次內部股東對外轉讓股權中，公司擬放棄對掌淘科技的優先受讓權，對應放棄優先受讓權所涉關聯交易金額不超過6600萬元。
廣州掌淘網絡科技有限公司經營範圍：電子、通信與自動控制技術研究、開發；軟件開發；信息系統集成服務；信息技術諮詢服務；數據處理和存儲服務；(依法須經批准的項目,經相關部門批准後方可開展經營活動)。
掌淘科技將接受京東聚數、中小基金、李永良對其的增資，陳禮標擬將其持有的部分股權對外轉讓給上海贊椿。同時，公司將其持有的部分掌淘科技股權同步對外轉讓給宿遷魔數科技投資合夥企業(有限合夥)(“魔數科技”)、中小基金、李永良，該股權轉讓事項不屬於關聯交易。
公司的主營業務為全球化網頁遊戲和移動遊戲的研發及運營相關產業，所持參股公司掌淘科技的主營業務為大數據服務業務，主要藉助數據覆蓋優勢及高效處理技術，公司基於聚焦主業的戰略需求和發展規劃，此次通過放棄對掌淘科技優先受讓權及同比例增資權，有利於加強主業的聚焦能力，符合公司遊戲主業的整體發展戰略，有利於公司網頁遊戲和移動遊戲研發及運營核心業務穩定發展，符合公司與全體股東的整體利益。
此次放棄優先受讓權及同比例增資權不會對公司的財務狀況、經營成果、未來主營業務和持續經營能力產生重大影響，不影響公司的合併報表範圍，對公司的獨立性無不利影響。
