*ST猛獅(002684.SZ)子公司由破產清算轉入重整
格隆匯12月27日丨*ST猛獅(002684.SZ)公佈，公司分別於2019年11月20日、2019年11月21日披露了《關於全資子公司被申請破產清算的公告》及《關於全資子公司被申請破產清算的補充公告》，公司全資子公司湖北猛獅新能源科技有限公司(“湖北猛獅”)收到湖北省宜城市人民法院的《通知書》（[2019]鄂0684民破3-1號），根據債權人湖北宜城農村商業銀行股份有限公司(“湖北農商行”)的申請，湖北省宜城市人民法院裁定受理湖北農商行提出的對湖北猛獅進行破產清算的申請並指定管理人。
湖北猛獅進入破產程序後，公司積極與各方協商溝通，並向湖北省宜城市人民法院提出對湖北猛獅進行重整，重整期間由湖北猛獅自行管理財產和營業事宜。2019年12月27日，公司收到湖北省宜城市人民法院下發的《民事裁定書》([2019]鄂0684民破3-1號)，法院認為：
“根據湖北宜城農村商業銀行股份有限公司的申請，於2019年8月19日依法裁定受理湖北宜城農村商業銀行股份有限公司申請湖北猛獅新能源科技有限公司破產清算，在本院受理湖北猛獅新能源科技有限公司破產清算申請後，廣東猛獅新能源科技股份有限公司向本院申請對其全資子公司湖北猛獅新能源科技有限公司進行重整。申請人的主體資格和被申請人的主體資格均符合法律規定。湖北猛獅新能源科技有限公司所生產高端鋰離子電池項目，符合國家新能源產業發展方向，其母公司廣東猛獅新能源科技股份有限公司是一家上市公司，有多年的電池製造經驗和開拓市場的能力，具有持續經營能力，對本項目推動決心堅定。申請人廣東猛獅新能源科技有限公司向本院申請對其全資子公司湖北猛獅新能源科技有限公司進行重整，有一定的誠意，並承諾對湖北猛獅新能源科技有限公司進行重整後，實現各債權人資產價值最大化，利益最大化，並提交相應的重整計劃。依照《中華人民共和國企業破產法》第二條、第七十條第二款、第七十一條、第七十三條之規定，裁定如下：自2019年12月27日起對湖北猛獅新能源科技有限公司進行重整。重整期間由湖北猛獅新能源科技有限公司自行管理財產和營業事宜。本裁定即日起生效。”
湖北省宜城市人民法院已裁定自2019年12月27日起對湖北猛獅進行重整。重整期間由湖北猛獅自行管理財產和營業事宜。據此，重整期間公司將恢復對湖北猛獅的控制權，並將湖北猛獅重新納入合併報表範圍。湖北猛獅由破產清算轉入重整程序，不會對公司日常經營造成重大影響。重整事項對公司本期利潤或期後利潤的影響存在一定不確定性。公司將密切關注湖北猛獅重整進展情況，並及時履行信息披露義務。
