英唐智控(300131.SZ)：擬收購深圳海威思及香港海威思40%股權
格隆匯12月27日丨英唐智控(300131.SZ)公佈，公司全資子公司深圳市華商龍商務互聯科技有限公司(“深圳華商龍”)及全資孫公司華商龍商務控股有限公司(“華商龍控股”)就此次收購深圳海威思、香港海威思剩餘40%股權，與李海軍先生、孫磊先生於2019年12月27日在深圳南山簽訂了《深圳市海威思科技有限公司股權轉讓協議》、《海威思科技(香港)有限公司股權轉讓協議》。經各方協商，一致同意深圳華商龍、華商龍控股以合計1.39億元人民幣受讓李海軍、孫磊合計持有的深圳海威思40%股權、香港海威思40%股權。收購完成後，深圳華商龍將持有深圳海威思100%的股權，華商龍控股將持有香港海威思100%的股權。
深圳市海威思科技有限公司經營範圍：電子產品技術開發與購銷，國內貿易，經營進出口業務(以上法律、行政法規、國務院決定禁止的項目除外，限制的項目須取得許可後方可經營)。
海威思科技(香港)有限公司經營範圍：貿易。
海威思具備優質半導體品牌匯頂科技的代理資質，並與上游優質原廠形成了長期穩定的戰略合作伙伴關係，2016年至2019年期間，海威思約定期每年度税後淨利潤分別為人民幣2,260.25萬元、2,341.67萬元、3,068.92萬元，且增長率為正值。進一步對海威思進行併購整合，對公司的業績增長帶來了較大的積極影響，有利於提高業績增長速度。
此次收購海威思剩餘40%股權是基於海威思完成業績對賭的前提條件下進行的進一步業務整合。收購海威思有利於公司為拓展產品代理線，進一步維繫與上游芯片原廠的密切合作關係；進一步收購海威思剩餘40%使其成為全資孫公司後，有利於公司對其管控的便利性，也有助於上市公司進一步完善資源配置，增強內部協同，降低管理成本，提升管理效率，符合上市公司整體戰略發展規劃，進一步提高整體競爭力，實現上市公司業績的加速增長，從而實現股東利益的最大化。
