迅遊科技(300467.SZ)擬放棄速寶科技新增註冊資本優先認繳權
格隆匯12月27日丨迅遊科技(300467.SZ)公佈，公司於2019年12月27日召開第三屆董事會第十一次會議，審議通過了《關於同意控股子公司增資並放棄優先認繳權的議案》，同意公司控股子公司四川速寶網絡科技有限公司(“速寶科技”)增資並放棄優先認繳權，具體如下：
同意控股子公司速寶科技註冊資本由人民幣1219.1405萬元增加至人民幣1523.9256萬元，新增的註冊資本人民幣304.7851萬元由原股東寧波梅山保税港區速灃投資管理合夥企業(有限合夥)(“速灃投資”)認繳，速灃投資系速寶科技員工持股平台。速灃投資向速寶科技出資人民幣2468.7596萬元，其中，人民幣304.7851萬元計入註冊資本，人民幣2163.9745萬元計入資本公積，公司放棄對此次新增註冊資本的優先認繳權。
速寶科技目前從事移動互聯網加速系統的開發，主要產品為迅遊手遊加速器，主要應用於智能手機等移動互聯網設備，支持iOS、Android等主流移動操作系統及設備，產品支持各大應用市場的主流對戰型、競技型移動遊戲。速寶科技除與主流遊戲廠商合作外，還與華為、MTK(聯發科)、OPPO、三星、小米、努比亞、魅族等手機制造廠商、芯片製造廠商達成了業務合作，在手機ROM及手機芯片中植入迅遊手遊加速器，整體業務取得較快增長。
此次增資完成後，速寶科技的註冊資本由1219.1405萬元增至1523.9256萬元，公司對速寶科技的出資比例由40.3972%下降至32.3178%，仍為速寶科技的第一大股東，表決權比例由70.6619%下降為67.1295%，對速寶科技仍具有控制權，並表範圍不發生改變。
此次增資擴股有利於進一步健全速寶科技核心技術人才的激勵約束機制，充分調動其經營管理團隊與核心骨幹員工的積極性，穩定和吸引更多專業人才長期投身於速寶科技的經營發展，進而提升速寶科技盈利水平和核心競爭力，有助於公司戰略的平穩推進。
此次增資擴股有利於提高速寶科技經營管理團隊與核心骨幹員工的積極性，形成較為有效的激勵約束機制，提升速寶科技盈利水平和核心競爭力，基於此公司放棄行使增資優先認繳權。此次增資擴股交易完成後，公司對速寶科技仍具有控制權，不會導致公司合併報表範圍發生變化，不會對公司未來的財務狀況和經營成果產生重大不利影響。
