中國長遠(00110.HK)斥540萬元收購北京飛鷹13.5%股權持股升至33.5%
格隆匯12月27日丨中國長遠(00110.HK)發佈公告，北京飛鷹由高飛先生於2013年10月22日成立，註冊資本為人民幣20萬元。於2014年10月11日，公司的間接全資附屬公司上海遠嘉、高先生及一名獨立第三方同意將北京飛鷹的註冊資本由人民幣20萬元增加至人民幣150萬元，當中上海遠嘉向北京飛鷹注資人民幣75萬元，使其於北京飛鷹的持股量變為50.0%。
於2016年10月20日，高先生、上海遠嘉及數名不同的獨立第三方同意將北京飛鷹的註冊資本由人民幣150萬元增加至人民幣1500萬元，當中上海遠嘉同意向北京飛鷹進一步注資人民幣225萬元。於有關注資後，上海遠嘉於北京飛鷹的持股量被攤薄至20.0%。
於2018年1月8日，上海遠嘉及其他北京飛鷹股東同意將北京飛鷹的註冊資本增加人民幣1000萬元，而上海遠嘉將根據其於北京飛鷹的權益比例以現金進一步認購北京飛鷹註冊資本增加部份中人民幣200萬元的部份。於完成認購事項後，北京飛鷹的註冊資本增加至人民幣2500萬元，上海遠嘉繼續持有北京飛鷹20.0%權益。
於2018年6月8日，公司的間接全資附屬公司上海遠嘉及其他北京飛鷹股東同意將北京飛鷹的註冊資本進一步增加人民幣1500萬元，而上海遠嘉將根據其於北京飛鷹的權益比例以現金認購北京飛鷹註冊資本增加部份中人民幣300萬元的部份。於完成認購事項後，北京飛鷹的註冊資本增加至人民幣4000萬元，而上海遠嘉繼續持有北京飛鷹20.0%權益。
於2018年9月27日，公司的間接全資附屬公司上海遠嘉購買及賣方出售北京飛鷹已發行股本的13.5%。於收購事項完成後，上海遠嘉持有北京飛鷹的33.5%權益。收購事項的總代價約為人民幣540萬元。此外，高先生於2019年12月27日獲委任為公司執行董事。
據悉，北京飛鷹主要從事二手移動電話回收。此外，北京飛鷹亦已與移動及互聯網巨頭騰訊訂立一合作協議，內容有關騰訊一款新移動應用程式，該移動應用程式協助用户將數據從舊電話轉移至新電話。根據合作協議，北京飛鷹將獲得來自用户移動應用程式所產生收入的70%。按照合作協議的規定，北京飛鷹將協助向消費者推廣移動應用程式。
公司稱，儘管北京飛鷹於截至2017年12月31日止兩個年度錄得虧損併產生負債淨額，但北京飛鷹自於2018開始與騰訊合作後已回覆盈利，董事相信，北京飛鷹於未來可透過與騰訊的合作獲得優秀的獲利能力。
