宏達新材(002211.SZ)出售江蘇明珠100%股權已完成過户手續
格隆匯12月27日丨宏達新材(002211.SZ)公佈，為優化資產結構，進一步有效整合資源，公司於2019年10月21日召開第五屆董事會第十七次會議審議通過了《關於以公開拍賣方式轉讓全資子公司江蘇明珠硅橡膠材料有限公司100%股權的議案》，並經2019年11月6日召開的2019年第五次臨時股東大會審議通過。公司將持有江蘇明珠硅橡膠材料有限公司(“江蘇明珠”)100%股權以約3.75億元的價格作為拍賣底價公開拍賣。公司於2019年11月14日將標的股權以約3.75億元的價格作為拍賣底價公開拍賣，因無人繳納拍賣保證金，拍賣標的流拍；公司於2019年11月22日將標的股權以資產評估價值的85%，即約3.186億元的價格作為拍賣底價進行了第二次公開拍賣，因無人繳納拍賣保證金，拍賣標的再次流拍；公司於2019年11月30日將標的股權以資產評估價值的70%，即約2.624億元的價格作為拍賣底價進行了第三次公開拍賣，自然人施紀洪於當日參加了拍賣會並最終以約2.624億元的價格拍得了標的股權，之後公司已與施紀洪先生簽署了《股權轉讓協議》。
截至公告日，施紀洪已按照《股權轉讓協議》的約定向公司支付了此次股權轉讓交易對價的60%，即約1.574億元(含已繳納的拍賣保證金1000萬元)。
2019年12月27日，江蘇明珠已辦理完成此次股權轉讓過户的工商變更登記手續，並換領了揚中市市場監督管理局核發的《營業執照》。截至公告日，此次交易標的股權已完成過户手續，交易對方施紀洪直接持有江蘇明珠100%的股權，公司不再持有江蘇明珠股權，江蘇明珠及其下屬子公司不再納入公司合併報表範圍。
依照《股權轉讓協議》之約定，公司將盡快與施紀洪先生辦理股權質押登記手續，施紀洪應當於股權過户後30個工作日內將股權轉讓交易對價的剩餘40%款項支付至公司指定賬户。
