樂惠國際(603076.SH)擬對MAX和NSM提起仲裁
格隆匯12月27日丨樂惠國際(603076.SH)公佈，2019年12月27日，公司召開了第二屆董事會第八次會議，以通訊表決方式審議通過了《關於公司對MAX Automation AG和NSM Magnettechnik GmbH提起仲裁的議案》。根據公司與MAX Automation AG(“MAX”)和NSM Magnettechnik GmbH(“NSM”)簽訂的《股權出售購買轉讓協議》，公司擬對MAX和NSM提起仲裁。
案件基本情況如下：2018年1月，公司與NSM及其母公司MAX簽訂了《股權出售購買轉讓協議》，公司以400萬歐元收購NSM旗下的全資子公司Finnah Packtec GmbH(“德國芬納赫”)，並於2018年3月完成交割。之後公司向德國芬納赫增資550萬歐元。
在MAX和NSM持有德國芬納赫股權期間，德國芬納赫曾與加拿大公司GEOSAF簽訂了灌裝機(類型2908)的設備製作合同(“設備製作合同”)，該設備的最終用户為FAGE USA DAIRY INDUSTRY,INC.(“FAGE”)。2015年9月4日，由於FAGE提出新的技術要求，又簽訂了增補合同，合同總金額為834.13萬歐元。
由於合同增補和技術原因，上述合同項下的設備一直處於延遲交付和驗收狀態，存在重大的交付風險。但MAX和NSM在《股權出售購買轉讓協議》中未披露和提示該重大風險，違背了轉讓協議5.2項關於“標的公司並無重大違反任何重大協議，且過往並無重大違反任何同類重大協議，以至於仍可能導致對標的公司造成重大責任或其他重大不利後果”的賣方保證義務，且MAX和NSM在轉讓協議簽署後交割前隱瞞公司為FAGE出具金額為397.375萬歐元預付款保函的事實。
2018年12月19日，FAGE以該設備延誤交貨並且存在質量問題為由，向德國芬納赫正式提出解除合同並退貨，並根據預付款保函的條款向MAX兑現了預付款保函，收回了397.375萬歐元預付款，2019年8月MAX向德國芬納赫提出償還該預付款本息的訴訟。
MAX和NSM上述隱瞞重大協議和重大交易風險的行為，嚴重違反了轉讓協議相關條款，造成公司重大經濟損失。因此，為維護公司和股東合法權益，公司決定授權管理層根據轉讓協議相關條款約定向MAX和NSM提起仲裁。
公司擬向NSM和MAX提起仲裁，是維護公司和股東利益的重要之舉。但由於本事項尚未正式提起仲裁且仲裁結果不可控，尚不能判斷對公司本期利潤或後期利潤等的影響。
