格隆匯12月26日丨鴻達興業(002002.SZ)公佈,公司擬向廣東興業國際實業有限公司(“興業國際”)購買坐落在廣州市荔灣區廣州圓路1號廣州圓大廈7樓、8樓、28樓房產,作為公司經營管理中心及公司控股子公司廣東塑料交易所股份有限公司(“塑交所”)的主要辦公場所。辦公場所總建築面積9484.2553平方米,以評估價值2.99億元為交易對價。

興業國際所有的廣州圓大廈,地理位置優越,交通便利,位於“三江匯聚、千年商都”的廣州荔灣區,地處白鵝潭經濟圈。廣州圓大廈7樓、8樓、28樓辦公樓,合計建築面積9484.2553平方米,土地使用權限為50年,自2008年2月3日到2058年2月3日止。

此次購買房產的目的主要是為了滿足公司經營管理的日常需要。公司擬將辦公總部集中於廣州圓大廈28樓進行日常辦公,公司控股子公司塑交所開展業務的主要場所位於廣州圓大廈7樓和8樓。目前公司通過向關聯方興業國際租賃的方式獲取上述辦公場所。隨着廣州圓大廈周邊地區的快速發展,交通樞紐、地鐵、商業配套的逐漸建成,廣州圓大廈及周邊辦公樓、住宅升值潛力大,辦公樓租金將較快上漲,將導致上市公司未來關聯交易金額較大幅增加。為減少公司長期的日常關聯交易,節約公司租賃費用,保障公司辦公場所穩定,此次購買房產具有必要性、合理性。

此次交易有利於公司減少長期的日常關聯交易,提高經營管理便捷性和辦公場所的穩定性。
