寶業集團(02355.HK)參與一項資產支持專項計劃 涉資5.8億元
格隆匯12月26日丨寶業集團(02355.HK)公告，於2019年12月26日，為募集資金， 公司以債務融資方式參與一項資產支持專項計劃，融資金額為人民幣5.8億元。
2019年1月8日，為設立資產支持專項計劃，公司及寶業安徽(公司直接全資附屬公司)與計劃管理人簽訂服務協議，據此，寶業安徽委任計劃管理人為本資產支持專項計劃管理人，其將發行可在上交所交易的資產支持證券。2010年3月11日，項目公司(作為借方)與寶業安徽(作為貸方)(均為本公司全資附屬公司)簽訂了股東借款協議，涉及金額為人民幣5.8億元。
據此，寶業安徽向項目公司提供金額為人民幣5.8億元股東借款，該項股東借款為集團內部借款，為在上交所發行資產支持專項計劃而設立，並在寶業安徽的財務帳目中重列至其他應收款。2019年12月16日，為發行資產支持證券，寶業安徽作為信託委託人，以上述股東借款債權作為信託財產，設立財產權信託，愛建信託獲委任為信託受託人。
2019年7月18日，寶業安徽與計劃管理人訂立了轉讓協議。據此，寶業安徽同意轉讓而計劃管理人同意受讓該基礎資產(即,以股東借款債權為信託財產的信託受益權)，轉讓代價為人民幣5.8億元。
通過該種結構及一系列相關安排，本公司能夠按約定票面利率立即從資產支持證券持有人處獲得人民幣5.5億元外部債務融資，另外人民幣3000萬元為公司認購次級資產支持證券。
項目公司為本公司的間接全資附屬公司，主要從事標的物業租賃與管理。寶業安徽為本公司直接全資附屬公司，主要從事投資控股。渤海匯金為獨立協力廠商。主要從事資本管理，資產證券化與投資。愛建信託為獨立協力廠商。主要從事資金信託、不動產信託、有價證券信託及其他房地產權益信託。浙商銀行為獨立協力廠商。主要從事商業銀行業務。
讓該基礎資產(即,以股東借款債權為信託財產的信託受益權)，轉讓代價為人民幣5.8億元。通過該種結構及一系列相關安排，本公司能夠按約定票面利率立即從資產支持證券持有人處獲得人民幣5.5億元外部債務融資，另外人民幣3000萬元為公司認購次級資產支持證券。
