飛利信(300287.SZ)：中衞基金擬4800萬元獲得長興寶利瑞信10.66%的股權而間接持視博數字9.6%的股權
格隆匯12月25日丨飛利信(300287.SZ)公佈，公司於2018年2月28日召開了第四屆董事會第六次會議，審議通過了《關於公司參與發起設立軍民融合產業投資基金的議案》，同意公司與中衞市人民政府國有公司寧夏中關村產業園科技投資有限公司、寧夏沙坡頭旅遊產業集團有限責任公司聯合發起設立軍民融合產業投資基金。基金首期規模為1.01億元人民幣，首期實繳出資5050萬元，其中飛利信應實繳出資2000萬元，中衞市政府國有公司應實繳出資3000萬元(寧夏中關村產業園實繳出資1000萬元，沙旅集團實繳出資2000萬元)，國信國投應實繳出資50萬元。2018年6月13日，基金完成了工商註冊登記手續，名稱為寧夏中衞飛利信產業融合發展基金（有限合夥）(“中衞基金”)。
2019年12月23日，公司召開第四屆董事會第三十六次會議，審議通過了《關於參股子公司寧夏中衞飛利信產業融合發展基金(有限合夥)對外投資暨關聯交易的議案》，同意參股子公司中衞基金對外投資暨關聯交易的相關事項。關聯董事楊振華、曹忻軍、陳洪順迴避表決。公司獨立董事對該議案進行了事前認可並發表了獨立意見，公司獨立董事劉俊彥，鑑於對投資標的估值判斷不清晰，因此，不同意公司參股子公司中衞基金對外投資暨關聯交易事項。
中衞基金擬出資4800萬元，通過增資方式獲得長興寶利瑞信科技有限公司(“長興寶利瑞信”)10.66%的股權間接持有北京視博數字電視科技有限公司(“視博數字”)9.60%的股權。
舟山飛利信投資合夥企業(有限合夥)(“舟山飛利信”)間接持有此次對外投資對象的股權，公司董事長楊振華為舟山飛利信的執行事務合夥人，董事曹忻軍、董事陳洪順為舟山飛利信合夥人，此次交易構成公司的關聯交易。
視博數字是廣播數字電視內容安全保護、廣播電視網絡雙模化相關的產品及技術服務提供商。主要產品是安全保護統一平台和雙模化產品。能夠聯合運用具有完全自主知識產權的條件接收系統(CAS)及數字版權管理系統(DRM)為基於DVB、IPTV、OTT等全平台的數字電視內容運營商提供全業務保護與授權管理方案。抓住廣電網絡DVB+IP雙模化改造的趨勢，獨立自主研發了終端雙模化產品終端產品智能網關及前端產品數字電視通用平台IPQAM。近期，視博數字中標“國家廣播電視總局廣播電視衞星直播管理中心新一代衞星直播廣播電視可下載條件接收系統服務支撐項目”。
