傳化智聯(002010.SZ)：擬轉讓眾成供應鏈、瀋陽傳化各100%股權
格隆匯12月25日丨傳化智聯(002010.SZ)公佈，2019年12月25日，公司控股子公司傳化物流集團有限公司(“傳化物流”)與杭州海源國際商貿有限公司(“海源商貿”)在杭州蕭山簽署了《傳化物流集團有限公司與杭州海源國際商貿有限公司關於杭州眾成供應鏈管理有限公司之股權轉讓協議》、《傳化物流集團有限公司與杭州海源國際商貿有限公司關於瀋陽傳化公路港物流有限公司之股權轉讓協議》，公司擬將持有的下屬公司杭州眾成供應鏈管理有限公司(“眾成供應鏈”)100%股權、下屬公司瀋陽傳化公路港物流有限公司(“瀋陽傳化”)100%股權轉讓給海源商貿。
在堅持公平、公正、公允原則的基礎上，根據坤元資產評估有限公司出具的資產評估報告書的評估價值為依據，公司與海源商貿經協商一致，確定眾成供應鏈100%股權轉讓價格約7562.66萬元，瀋陽傳化100%股權轉讓價格約596.25萬元，合計人民幣約8158.91萬元。此次交易完成後，公司將不再持有眾成供應鏈、瀋陽傳化的股權。
公司致力於打造服務產業端的智能物流服務平台，為客户提供“集、分、儲、運、配”一單到底的物流供應鏈服務，持續幫助企業供應鏈降本增效。
隨着公司物流供應鏈業務的深入開展和客户對精準服務的強烈需求，為進一步提升服務的專業性和標準化，充分發揮公路港城市物流中心倉儲資源和運力資源的優勢，公司前期已經對該項業務的服務主體進行了調整，將原先由眾成供應鏈和瀋陽傳化負責的部分物流供應鏈服務已調整為由杭州傳化旺載供應鏈發展有限公司統籌開展。
眾成供應鏈和瀋陽傳化經過前述調整後，已不再為客户提供“集、分、儲、運、配”相關業務。為確保上市公司的業務聚焦於物流供應鏈業務這一主要路徑，突出公司主營業務，公司決定轉讓持有眾成供應鏈以及瀋陽傳化的100%股權。此次轉讓符合公司的長遠規劃和發展戰略，不存在損害公司和中小股東利益的行為。
經公司測算，此次股權轉讓約產生投資損失574.40萬元，不會對公司當期及之後的財務狀況及經營業績產生重大影響，最終投資損失金額以年度審計結果為準。
